The sole member of barnesville hospital foundation is barnesville hospital association, inc., an ohio nonprofit corporation.

Form 990, Part VI, Section A, Line 7A

Barnesville hospital association, inc. Is the parent corporation and sole member of barnesville hospital foundation. As the member, barnesville hospital association has the sole right to elect the directors of this corporation and remove, with or without cause, any director of this corporation prior to expiration of the director's term. The member has the right to fill any vacancy for the office of voting director.

Form 990, Part VI, Section A, Line 7B

While the board of directors of the foundation is granted certain powers with respect to its operations, as the sole member, barnesville hospital association, inc. Retains approval rights with respect to certain corporate actions such as (i) selection of the director of development, (ii) approval of the annual operating budget of the foundation prior to its implementation, (iii) any expenditure of, or donation made by, the foundation in excess of limits set from time to time by the member shall be subject to approval by the member, (iv) the appointment of independent auditors and/or accountants for the foundation shall be subject to prior approval by the member, (v) adoption of any long-range plan or the adoption of specific management objectives for the foundation shall be subject to approval by the member, (vi) the sale or lease or other disposition of any personal property of the foundation comprising a significant portion of the foundation's assets or any real property of the foundation is subject to prior approval of the member, and (vii) the incurrence of any short or long term debt, secured or unsecured, in amounts to be determined from time to time by the member shall be subject to prior approval by the member.

After the initial review it is reviewed by a committee of the barnesville hospital board of trustees for review and comment.

All board members and any leadership or management positions are required to fill out a conflict of interest form each year. They are reviewed by the corporate compliance officer. If a conflict would exist, no matter how small, it would be reviewed by the ceo and board members to decide if the person would need to resign from their position or disassociate themselves from the conflicting entity. We had no conflicts of interest in 2018.

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken and recognize a tax liability if an uncertain position has been taken that more likely than not would not be sustained upon examination by various federal and state taxing authorities. Management has analyzed the tax positions taken by these entities, and has concluded that as of december 31, 2018 and 2017, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the accompanying financial statements. The entities are subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.
