“The by-laws were amended on February 1, 2017. The following changes were made: -Article 2, Section 2 (amending requirements for membership on board of directors; expressly reserving board of directors right to remove directors for cause or non-performance); -Article 2, Section 4 (amending the officers of the corporation); -Article 2, Section 6 (amending which officers may call a meeting of the board of directors); -Article 2, Section 13 (amending procedures by which the board of directors may establish committees); -Article 2, Section 14 (amending meeting requirements to permit voting by written proxy); -Article 2, Section 16 (new section specifying procedure to call a meeting of the delegates of the affiliated organizations); -Article 2, Section 17 (new section specifying that directors or committee members covenant not to sue the corporation for actions taken in connection with the mission and purpose of the Parade); -Article 2, Section 18 (new section specifying that directors or committee members that sue the corporation may be removed for cause); -Article 2, Section 19 (new section specifying that any director or officer that sues the corporation shall be liable to the corporation for reimbursement of costs and attorney's fees); -Article 4, Sections 2-5 (minor revisions to the responsibilities of the Chairman/CEO, Vice Chairman, Secretary and Treasurer/CFO).”

It is further resolved that the policy be reviewed annually for the information and guidance of board members, and that any new board member be advised of the policy upon entering the duties of his/her office.
