The following is a summary of the key changes that were approved: - the definition of "related party transaction" was updated in both policies to ensure full compliance with the new york not-for-profit corporation law (n-pcl). - a treasurer was added as an authorized corporate officer in the bylaws of both the cemetery and the historic fund, consistent with n-pcl 519. - revisions to both bylaws were made to bring them into compliance with current law and to maintain alignment, while respecting their distinct governance structures: the cemetery has lot owners with governance rights, and the historic fund is a membership organization with the cemetery as its sole member. - both sets of bylaws were last amended in 2020; only limited updates were needed to reflect recent legal changes. - redlined copies of all proposed revisions were circulated to the trustees in advance of the meeting.”

“The green-wood historic fund has its form 990 prepared by an outside accounting firm. When the form 990 has been prepared, reviewed by management and is ready to file, it is sent electronically to the board members of the organization for any comments. Any comments and/or suggestions are grouped, summarized and provided to the outside accountants. Each issue is addressed until the return is finalized and approved for filing.”

“The green-wood historic fund (gwhf) requires its officers, directors, and officials ("covered persons") to comply with all laws and to avoid any conflict of interest or appearance of such, including using their titles or affiliations that might benefit their private interests or result in a possible excess benefit transaction. The policy is intended to ensure that covered persons act in the organization's best interests and comply with applicable legal requirements. Before assuming his/her duties and annually thereafter, covered persons sign and submit an annual conflict of interest statement to the secretary or a designated compliance officer. The secretary or designated compliance officer shall provide the signed statements to the chair of the audit committee. If any covered person knows, believes, or has reason to know or believe, that a conflict of interest exists with respect to any transaction involving the gwhf, any decision of the board, or any action taken by a covered person, such person informs the board of trustees of the existence of such conflict in writing. A covered person must make full and accurate disclosure to the board's audit committee of the existence of any possible or actual conflict of interest, and all material facts pertaining to the transaction or arrangement giving rise to such actual or possible conflict of interest, prior to any discussion, negotiation, or other action with respect to such transaction or arrangement. The audit committee will review the potential conflict of interest and determine the resolution.”
