Governance Explanations

Form 990, Part VI, Section A, Line 2

Board members elizabeth comerford and joellin comerford are sisters.

Form 990, Part VI, Section B, Line 11

The staff finance person and the executive director review the preliminary 990. The auditors then present the final version to the audit committee, who review the form 990 and summarize highlights, along with any recommendations or comments. The audit committee then electronically distributes form 990 along with their report to the entire board. The board reviews the report and votes to accept and file the final approved version of form 990.

Form 990, Part VI, Section B, Line 12C

The entire board of directors and the executive director sign conflict of interest forms at the first board meeting every year. Each person is asked to recuse himself/herself from any discussion on any matter in which he/she or a member of his/her immediate family has potential conflict of interest due to having material economic involvement regarding the matter being discussed. When such a situation presents itself, the person must announce the potential conflict and be excused from the meeting until such discussion on the matter is resolved.

Form 990, Part VI, Section B, Line 15A

The compensation review includes the use of outside comparable data to help formulate salary recommendations. Salary of the executive director is based on comparable non-profit management levels for the years and position and subject to recommendations and approval by the board of directors. The approval was documented in the board minutes. This process was last undertaken in 2013.

Form 990, Part VI, Section C, Line 19

Child abuse prevention program's form 990 is available on guidestar.org. The financial statements are included in capp's annual report. The governing documents and conflict of interest policy are available upon request.

Form 990, Part VII, Section A

The compensation paid to ms. Marion white reflects only six months. On may 1, 2014, the organization stopped and transferred its program to the new york foundling hospital ("new york foundling"), a not-for-profit organization. The organization became an integrated program of the new york foundling. The employees of the organization became the new york foundling's employees.
