Governance Explanations

Form 990, Part VI, Section A, Line 2

Andrew vatier and toni ann vatier have a family relationship.

Form 990, Part VI, Section A, Line 6

There are two classes of members which have the right to elect the governing body: general members and professional members. The organization also has corporate and organizational members which do not have this right.

Form 990, Part VI, Section A, Line 7A

General members and professional members have the right to elect the directors of the organization at the annual meeting of the members.

Form 990, Part VI, Section A, Line 7B

Any by-law changes require 2/3 vote of the membership.

Form 990, Part VI, Section B, Line 11B

The organization's form 990 is prepared by an outside accounting firm. It is reviewed by management and then provided to the treasurer of the governing body for review and comment, per the agency by-laws. All comments are addressed. The completed form 990 is then reviewed with the board of directors, for approval of the submission of the report to the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The association has a conflict of interest policy applicable to all board members, officers and employees who can influence the actions of anibic. All applicable individuals are required to sign a conflict of interest agreement annually, disclosing any possible conflict of interest and are given the opportunity to disclose all material facts to the board. The signed conflict of interest policy is submitted to the board president and/or executive director who presents the signed documents to the board of directors. The board reviews the signed attestations for potential or actual conflicts. If an actual conflict exists, the member of management or board member is notified immediately and is not allowed to vote or be a part of any decisions involving transactions that have to do with the identified conflict until such time that the conflict no longer exists. Deliberation and decisions are recorded in the minutes of the board.

Form 990, Part VI, Section B, Line 15

The process for determining the compensation of the executive director includes 1) comparability data consisting of salary information of similar non-profit organizations; 2) compensation in context with the proposed budget; 3) employee annual performance review; 4) approval by the board or compensation committee; and 5) documentation of approved salaries in the board minutes. The process for determining the compensation of the cfo includes 1) comparability data consisting of salary information of similar non-profit organizations; 2) compensation in context with the proposed budget; 3) approval by the board or compensation committee; and 4) documentation of approved salaries in the board minutes. The board of directors contracted with an independent 3rd party to complete an executive compensation study and received the report in december of 2021. The independent compensation study, executive performance evaluations, and executive sessions of the board are used to determine executive compensation.

Form 990, Part VI, Section C, Line 19

The association makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is available on guidestar.org and other similar types of websites. The organization's form 990, governing documents, and financial statements are available upon written request at 61-35 220th street, bayside, ny, 11364, or by calling the association directly at (718) 423-9550.
