“The following sections have been amended on the clubs by-laws: article iii members (a) corporate members. Corporate members shall be those persons (whether natural or legal) whose membership application is approved by the board. (the board may provide by resolution that lithuanian clergy and members of the lithuanian catholic religious orders, both men and women in good standing, will not be required to submit an application form for the membership and are deemed to be members by virtue of their state as such.) upon payment of membership dues, as established by the board with the approval of the corporate members, corporate members shall be entitled to vote in all elections and in all proceedings, as authorized by the laws of the state of new york. Each lithuanian catholic religious order each individual member of a lithuanian catholic religious order and other corporate members shall each be entitled to one vote upon payment of the designated annual membership fee. (b) supporting members. Supporting members shall be all persons (whether natural or legal) who support and contribute to the achievement of the purposes of the corporation. Supporting members shall not be entitled to vote. (c) honorary members. Honorary members shall be those persons (whether natural or legal) who are honored by the board for outstanding contributions to the corporation. Members shall not be entitled to vote. The board shall be held at a time and place as determined by the board, and shall, when possible, be on the same date and at the same place as the annual meeting of the corporate members. Written notice of the meeting shall be given at least thirty (30) days prior to the meeting by regular mail or electronic forms of communication including email. B) regular meetings. There shall be at least two three (3) regular meetings of the board each year with at least two (2) of such meetings being in person and one (1) such meeting by telephone or video conference. Regular meetings of the board may be held at such time and place as shall be determined by the board, upon twenty-one (21) days prior written notice by regular mail or electronic forms of communication including email. C) special meetings. A special meeting of the board may be called by the chair or by any board member upon written request. Notice of special meetings shall be sent out by the secretary to each board member at least two weeks in advance of meeting by regular mail or electronic forms of communication including email. D) robert's rules of order newly revised shall govern all meetings to which they are applicable. E) any one or more members of the board or any committee thereof may participate in a meeting of such board or committee by means of a conference telephone, other electronic forms of communication or similar communications equipment allowing all persons participating in the meeting to hear each other at the same time. Participation by such means shall constitute presence in person at such meeting.”
