The brothers of phi beta sigmaare the fraternity's most valuable resource and strength. They are the primary means by which the phi beta sigma objectives will beachieved. In order to accomplish the fraternity's objectives, it isessential that systems are instituted that effectively embody "culturefor service and service for humanity and promote brotherhood,scholarship and service.

Governance Explanations

Form 990, Part VI, Section A, Line 1

The organization has an executive committee of the general board. The committee is composed of the president, first national vice president, second national vice president, treasurer/comptroller, national legal counsel and two regional directors appointed by the president. The executive committee has the authority to act for and on behalf of the general board on any matter submitted to it by the president between meetings of the general board, provided that the executive committee shall not act on any matter submitted to it by the president where the general board has previously acted upon such matter or made a decision with respect to such matter; and provided further that any action taken by the executive committee shall be communicated to each member of the general board not a member of the executive committee; within 5 days of such action requiring that he advise the president within 10 days of the post mark date of such notice if he objects to such action.

The organization has membership limited to college-educated men eligible for membership in the fraternity by meeting the requirements and qualifications for membership.

The governing body of phi beta sigma is the conclave, which meets every two years. The conclave is comprised of the financial members from each of the fraternity's chapters. All elected general board members (board of directors) of the fraternity are elected by the conclave. The general board has the constitutional authority to make decisions for the fraternity, when the conclave is not in session.

The treasurer and members of the audit committee will review the return in detail and approve its submission. The form 990 is then provided electronically to the board of directors.

There has been no instance where there was a conflict of interest. The grievance committee monitors board business to determine if there are potential conflicts. Starting in 2015, each member of the board of directors annually signs a conflict of interest statement. These are kept by the executive director.

The board of directors approves the appointment, employment, and compensation of the executive director. Compensation is based on the compensation levels of key executives of similar organizations. Reviews are conducted annually in accordance with procedures established by the board. There is no compensation to officers. The board of directors approves all employee salaries.

The organization adopted the income tax standard for uncertain tax positions on january 1, 2009. As a result of the implementation, the organization evaluated its tax positions and determined no uncertain tax positions exist as of december 31, 2014.
