Founded in 1914, heartshare human services is dedicated to new york city's most vulnerable, empowering people with autism and other developmental disabilities to reach their full potential through education, vocational training, the arts, housing, family support and long-term therapy services. This work is carried out through more than 120 programs, supporting over 2,500 people with intellectual and developmental disabilities (i/dd). These numbers rise significantly when one thinks about the family members who are also helped through the work of heartshare. Heartshare offers a person-first, continuum of care for any person who enters into the heartshare ecosystem of services. This is accomplished through preschool special education, adult day, prevocational and employment programs, community programming, respite recreation services, family support services (children's evaluations, family reimbursement) and 24 hour and non-24 hour residential programs. Governance Explanations

FORM 990, PART VI, SECTION B, LINE 11B:

The board's audit and finance committee reviewed heartshare's form 990 prior to filing. Any comments arising from the review were discussed and if required, changes were made. After the committee's review, the form 990 was presented to the full board for review and approval.

FORM 990, PART VI, SECTION B, LINE 12C:

Heartshare human services of new york's conflict of interest policy requires directors, corporate officers, key employees of the corporation and independent contractors who provide substantial services and/or materials to complete an annual conflict of interst disclosure statement and file it with the chairperson of the board of directors. The audit and finance committee of the board reviews each reported potential conflict of interest and reports its recommendations to the full board for approval. If a conflict of interest arises, the matter may be remedied via recusal or disqualification,meaning that the , director, corporate officer, key employee, or independent contractor does not participate in the matter (abstain from making motions, voting, executing agreements, etc.) that poses the conflict of interest. In the event of a violation of the conflict of interest policy, the board of directors reserves the right to enforce appropriate disciplinary or corrective action.

FORM 990, PART VI, SECTION B, LINE 15A:

THE ORGANIZATION HAS A COMPENSATION COMMITTEE THAT DETERMINES THE COMPENSATION OF THE President & CHIEF EXECUTIVE OFFICER OF THE ORGANIZATION AND ITS AFFILIATED ORGANIZATIONS. ON AN ANNUAL BASIS, THE COMMITTEE REVIEWS AND CONTEMPORANEOUSLY DOCUMENTS THE EXECUTIVES' PERFORMANCE AND COMPENSATION USING INDEPENDENT COMPENSATION SOURCES, INCLUDING SALARY SURVEYS, FORM 990'S OF COMPARABLE ORGANIZATIONS, AND INFORMATION PROVIDED BY AN INDEPENDENT COMPENSATION CONSULTANT. THE COMPENSATION CONSULTANT CONFIRMS THAT TOTAL COMPENSATION IS REASONABLE AND WITHIN MARKET NORMS. COUNSEL CONFIRMS THAT ALL COMPENSATION PROCEDURES AND ARRANGEMENTS SATISFY THE IRS SAFE HARBOR REGARDING REASONABLE COMPENSATION. THE PROCESS LAST OCCURRED IN FYE 2024.

FORM 990, PART VI, SECTION B, LINE 15B:

The organization has a compensation committee that determines the compensation of other senior executives of the organization and its affiliated organizations. On an annual basis, the committee reviews and contemporaneously documents the executives' performance and compensation using independent compensation sources, including salary surveys, form 990's of comparable organizations, and information provided by an independent compensation consultant. The compensation consultant confirms that total compensation is reasonable and within market norms. Counsel confirms that all compensation procedures and arrangements satisfy the irs safe harbor regarding reasonable compensation. The process last occurred in fye 2024.

Additional Explanations

FORM 990, PART III, LINE 4D:

Family support services helped over 300 people with intellectual and developmental disabilities (i/dd) and their families. The services include psychosocial and psychological evaluations for children with i/dd and financial grants supporting families in caring for and improving quality of life for children and adults with i/dd living at home. Expenses $489,423 grants $0 revenue $568,519 energy assistance & community development programs offered utility assistance grant over 36,000 low and moderate income new yorkers in partnership with con edison, national grid, nyseg and rg&e. Financial Statement Notes

SCHEDULE D, PART IV, LINE 1B:

Many of the individuals in our residential programs have bank accounts. Heartshare serves as the custodian of these accounts. These funds are used for their personal needs not covered by the program.

SCHEDULE D, PART X, LINE 2:

Heartshare, is exempt from income taxes under the code and a similar provision of state law. There has been no provision made for federal income and excise tax. Heartshare is subject to federal income tax on any unrelated business taxable income. For the year ended june 30, 2024, heartshare did not have any unrelated business taxable income. Heartshare has not taken any unsubstantiated tax positions that would require provision of a liability under financial accounting standards board (fasb) accounting standards codification (asc) 740, income taxes. Under asc 740, an organization must recognize the tax liability associated with uncertain tax positions taken for tax return purposes when it is more likely than not the position will not be sustained upon examination by a taxing authority. Heartshare does not believe that there are any material uncertain tax positions and, accordingly, has not recognized any liability for unrecognized tax benefits. Heartshare has filed internal revenue service (irs) form 990, as required, and all other applicable returns in jurisdictions when it is required. For the year ended june 30, 2024, there were no interest or penalties recorded or included in the financial statements. Heartshare is subject to routine audits by taxing authorities.

RESIDENTS ARE PROVIDED SUPPORT IN THE AREAS OF ACTIVITIES OF DAILY LIVING AS APPROPRIATE TO EACH PERSON, INCLUDING SELF-CARE, COOKING, CLEANING, BUDGETING, ETC. THEY ATTEND SCHOOL (CHILDREN) OR ADULT DAY AND EMPLOYMENT PROGRAMS (ADULTS) OR ARE COMPETITIVELY EMPLOYED.
