The ceo and the audit committee of the organization will review the form 990 prior to circulating it to the governing body (board members) to ensure that it correctly reflects all activities and policies of the organization. 2. After the audit committee's review, the form 990 will be circulated to the governing body. Any questions, suggestions or concerns from any board member with respect to the form 990 will be addressed by a member of the audit committee prior to the filing.”

“Any officers, directors, trustees or key employees are required to disclose when they come onto the board of directors or are hired, any conflict of interest they may have for any matter that comes before the board of directors. Annually, a conflict of interest disclosure statement will be completed and reviewed. Any conflicts are reviewed by the board members without a conflicting interest. The person with the conflict may not vote on the transaction, however they may be present to answer questions. The Board Secretary will document the board's decision and the basis for their determination in the minutes to the meeting.”

“The President/CEO's base compensation is subject to review each fiscal year. His/her salary is generally increased in line with the cost-of-living increase granted to the SSO full-time staff. However, the President/CEO will be eligible to earn an annual performance bonus to the extent that he/she meets and exceeds goals agreed upon in accordance with the procedures set forth below. Early in each fiscal year, the President/CEO meets with the Board Chair and the Chair of the Personnel Committee to agree upon the President/CEO's performance objectives for the coming year. Goals are both qualitative and quantitative. The President/CEO's performance is reviewed by the Board Chair and the Chair of the Personnel Committee after the end of each fiscal year, at which time, the Personnel Committee meets to determine whether payment of a bonus to the President/CEO is appropriate and, if so, the amount of the bonus. The amount of the President/CEO's recommended bonus and the amount of the cost of living increase granted to the President/CEO and all other members of the SSO full time staff is presented to the Board for approval at an executive session at which only Board members are present and at which the President/CEO is not present.”
