Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is made up of officers and standing committee chairs. All members of the executive committee are members of the governing body. Between meetings of the board of trustees, the executive committee has all authority of the trustees except that it may not take action inconsistent with a prior act of the board of trustees, fill vacancies in the board of trustees, fix compensation of any trustee, alter bylaws, amend or repeal any resolution of the trustees, remove or appoint the executive director/ceo of the corporation, or take any action which has been specifically reserved by the board of trustees as a whole.

The board of trustees receives a copy of the form 990 and approves it prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Trustees are required to complete a conflict of interest document annually and to submit it to the corporate secretary for review. If a conflict exists with a trustee, the trustee is asked to remove himself or herself from discussion and recuse himself or herself from the vote on such matters. If a conflict with an employee was present, the executive director/ceo and, if need be, the trustee would work to correct the conflict. No conflicts existed for the fiscal year being filed.

A third party compensation consultant is hired periodically by the trustees to analyze the executive director/ceo's salary and benefit package. The executive committee was responsible for reviewing the consultant's report and setting compensation strategy such that the executive director/ceo is paid no more than fair market value compensation. Similarly, the executive director/ceo is responsible for ensuring that other officers and key employees are paid no more than fair market value compensation, and also uses data from a third party compensation consultant. All compensation documentation is retained by the organization.

PART X, LINE 2:

The organization accounts for uncertainty in income taxes recognized in the financial statements using a recognition threshold of more likely than not as to whether the uncertainty will be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met. Management determined there were no tax uncertainties that met the recognition threshold at july 31, 2024 and 2023.

DESIGNED TO ENHANCE ACCESS TO PRIVATE AND INDEPENDENT SCHOOLS FOR STUDENTS OF ALL SOCIOECONOMIC BACKGROUNDS, EMA PROVIDES FEE WAIVERS EACH YEAR TO THOUSANDS OF STUDENTS WHOM OUR MEMBER SCHOOLS DETERMINE TO BE ELIGIBLE. CONTINUED ON SCHEDULE O.THESE FEE WAIVERS ALLOW STUDENTS TO TAKE THE SSAT, USE THE EMA PRACTICE PORTAL, AND APPLY TO PRIVATE SCHOOLS. THE AGGREGATE AMOUNT OF THESE FEE WAIVERS FOR JULY 2024 WAS $ 1,028,501.46. A COMPREHENSIVE STUDENT WEB SITE ENSURES THAT STUDENTS AND FAMILIES CAN ACCESS INFORMATION ON ALL ASPECTS OF THE SSAT, INCLUDING TEST PREPARATION, TEST STRUCTURE AND COMPOSITION, SCORE INTERPRETATION, AND ONLINE TEST REGISTRATION. SCHOOLS ARE PROVIDED WITH THE INFORMATION AND TRAINING THEY NEED TO PROPERLY ADMINISTER THE SSAT AND TO ASSESS STUDENT SCORES. THE CHARACTER SKILLS SNAPSHOT WAS DEVELOPED TO PROVIDE SCHOOLS WITH A RELIABLE ASSESSMENT OF STUDENT CHARACTER SKILLS DEVELOPMENT FOR ADMISSION.
