“The board of directors may, by a majority vote of its members, designate an executive committee consisting of two board members and may delegate to such committee the powers and authority of the board in the management of the business and affairs of the corporation, to the extent permitted, and except as may otherwise be provided, by provisions of law. By a majority vote of its members, the board may at any time revoke or modify any or all of the executive committee authority so delegated, increase or decrease but not below two (2) the number of the members of the executive committee and fill vacancies on the executive committee from the members of the board. The executive committee shall keep regular minutes of its proceedings, cause them to be filed with the corporate records and report the same to the board from time to time as the board may require.”

“The organization's conflict of interest policy covers all officers, directors, members of a committee with governing board delegated powers, staff and volunteers. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.”

“The organization strives to compensate its employees at or above the 75th percentile of the salary ranges published by colorado association of nonprofit organizations (canpo) for organizations of similar size. Periodic reviews are conducted and job descriptions are continually reviewed and revised to better align with this publication in order to provide fair and comparable salaries and benefits. The board of directors reviews, establishes, and approves the salary and benefits package for the executive director based on the guidelines published by canpo, the larger national market, and the director's performance. The executive director utilizes these guidelines in approving salaries and benefits for the entire staff.”

“The organization makes its governing documents and policies available to the public based upon a written request to the executive director.”

“No barriers usa (nbusa) entered into a client service agreement with g&a partners, an unrelated organization, on april 1, 2019. G&a partners is a professional employer organization. As a result, g&a partners is the employer for the purposes of paying wages and benefits. Nbusa inputs and approves all employee time and wages into g&a partners' online system and g&a partners processes the payroll and administers all benefits on behalf of nbusa. G&a partners also remits all taxes and files all returns under their name and employer identification number. Prior to the client service agreement on april 1, 2019, nbusa paid all salary, benefits, and payroll taxes through thier own ein. As a result the salary, benefits, and payroll tax expenses shown on line 5,7,and 9 of part ix represent amounts paid by nbusa through april 1, 2019 and g&a partners from april 1, 2019 through december 31, 2019 as part of the client service agreement. In addition, nbusa is reporting 40 paid employees on form 990, part v, line 2a because of the relationship with g&a partners as stated above.”
