Mission

MoveOn.org Civic Action ("MoveOn") is an issue-oriented, primarily non-partisan organization giving people a voice in shaping the laws that affect our lives. MoveOn engages people in the civic process, using the internet to democratically determine a non-partisan agenda, to raise public awareness of pressing issues and to coordinate grassroots advocacy campaigns to encourage sound public policies.

MoveOn.org Civic Action is a nonprofit organization that focuses on (See Schedule O) nonpartisan education and advocacy, provides civic engagement tools to the public, and builds the progressive movement by encouraging and supporting the development of more grassroots leaders.

Governance Explanations

Form 990, Part VI, Section A, line 1A

The organization has an Executive Committee (the Committee). Under this organization's bylaws and California law, this Committee is a "board committee" which is composed solely of directors. For the organization's tax year ending December 31, 2023, the committee was composed of two current directors of the organization. Executive Committee's composition: - Anna Galland - Christina Jimenez The Committee has general governing authority similar to the Board of Directors, except for certain rights reserved to the full Board of Directors in the organization's bylaws. Actions of the Committee are reported to, and reviewed by, the Board of Directors at least annually.

Form 990, Part VI, Section A, line 4

The bylaws were amended to (i) streamline the language around the staggering of terms for the board of directors, with no change to term limits or the requirement to stagger, and (ii) remove the provision that required the President to be a member of all board committees.

Form 990, Part VI, Section B, line 11B

The Form 990 was prepared by outside accountants and reviewed by the COO/CFO, Controller, the executive committee and the Organization's legal counsel. A complete copy of the return was provided to the board before filing.

Form 990, Part VI, Section B, line 12C

Our conflict of interest policy covers each director, officer, board committee member, and key employee of MoveOn.org Civic Action. Under the policy, each covered person must (a) sign a statement that he or she has received a copy of the policy, has read and understood it, and has agreed to comply with it, (b) make the nature of his or her conflict known as it arises, and (c) excuse himself or herself from any discussion and voting related to the and conflicted transaction. In addition, each MoveOn.org Civic Action officer, director and key employee is required to annually complete a conflict of interest disclosure form disclosing any financial interests and family relationships that could give rise to conflicts of interest. MoveOn.org Civic Action annually reviews the disclosure forms and monitors compliance with the policy on an ongoing basis.

Form 990, Part VI, Section B, line 15

The Board collectively determines the Executive Director's compensation. Compensation studies providing information regarding the compensation paid for comparable organizations are used to determine the rates for the Executive Director and the compensation decision is discussed and documented. The last compensation review for the Executive Director was February 2022. Compensation studies or a review of comparable positions of comparable organizations according to the position and scope of responsibility are used to determine compensation rates of other officers or key employees. The compensation review process is approved by the Board. The last compensation study was completed in May 2022.

Form 990, Part VI, Section C, line 19

The organization makes its articles of incorporation, bylaws, conflict of interest policy and financial statements available to the public upon request.

Form 990, Part VIII, line 11A:

During the year ended December 31, 2023, MoveOn.org Civic Action (MOCA) and related entity MoveOn Education Fund (MOEF) were parties to a services and resources agreement in which MOCA provides certain support services and other resources to MOEF in exchange for a monthly fee of $40,000. The parties determined the fee based on MOCA's anticipated costs of providing such services and resources; the fee is subject to periodic adjustment to ensure that MOEF will pay no more than MOCA's cost in providing the services and resources. Total fees paid by MOEF to MOCA during the year ended December 31, 2023 were $242,979 after adjustments to align with actual cost for the years ended December 31, 2023. The organization not continue paying the service fee after August 31, 2023 when the FBT was transferred to the different fiscal sponsor.

It has propelled us forward on issues that impact our lives from police violence to student loan debt to LGBTQ+ rights to bodily autonomy and so much more. Whether at the forefront of a campaign or as an integral part of a larger strategy, MoveOn petitions have empowered local change-makers to make tangible differences at the local, state, and federal level. Petition highlights from 2023 include amplifying the voices of labor unions during the hot labor summer, pushing for student debt relief, and calling for a ceasefire in Gaza.

IRS990/ProgSrvcAccomActy3Grp/Desc0Education & Advocacy - Foreign Policy: At cornerstone moments such as foreign policy budget debates, any rising threats of war, massive loss of life, or nuclear threats MoveOn Civic Action strategically utilized all the tools we have to hold elected leaders, including the White House, accountable to their constituents, including peer-to-peer texting, call alerts, petition deliveries, op-eds, and COVID-safe in-person and online events where appropriate. Some issues on which we engaged our membership in 2023 include expanding public support for diplomacy and diminishing calls for direct military engagement and inflated war funding, particularly in Ukraine and West Asia; driving narrative around the people's uprising in Iran; responding to fallout and potential regional escalations resulting from not (See Schedule O) reentering the Iran nuclear agreement, including the Saudi war in Yemen; addressing humanitarian issues, including refugee placement and the allowance of aid, with an emphasis on Gaza, Yemen, Afghanistan, and Ukraine; divesting from the Pentagon and investing domestically in intersectional issues such as climate, racial justice, and economic relief; and mainstreaming the call for a ceasefire and supporting strategies to condition military funding to adhere to existing U.S. law governing foreign aid policy. In October, 500,000 people signed a petition calling for a ceasefire in Gaza. In November, more than 100,000 people called for conditioning funding to adhere to U.S. foreign aid policy. MoveOn members raised more than $800,000 to support direct relief efforts in Gaza.

The FBT continued to address and coordinate around the heightened attacks on "culture war" issues, including critical race theory, reproductive rights and justice, and gun violence. As local and national groups surfaced a need for resources, messaging, and on-the-ground support to respond to dangerous and divisive tactics, the FBT played an important role in developing and executing a strategy to push back on the culture wars.
