The board believes it is in the best interest of the corporation to adopt the amended and restated bylaws to make certain administrative changes to sections 3.1 and 3.1 of the bylaws, to confirm the adoption of the language in section 4.3 as an amendment to the bylaws in 2017 so that such provision aligns with section 4.6 of the articles of incorporation of the corporation, as heretofore amended, and to provide for an executive committee in lieu of a compensation committee. Form 990, Part VI, Section B, Line 12C

At any board, board committee, or advisory board meeting at which discussion or voting occurs with respect to a company in which a covered person has the potential to derive a financial benefit, the covered person shall announce in advance that he or she has a potential conflict and shall recuse himself or herself from participating in such vote. The minutes of such meetings shall note that such covered person recused himself or herself. In addition, each covered person shall make a written disclosure once each year during the month of july, listing all potential conflicts with respect to any company already funded or assisted by the slater technology fund and state any forthcoming potential conflicts that may arise. Such disclosure statements shall be delivered to the corporation within 30 days of receipt of the request for disclosure. The corporation shall maintain such disclosure forms with the corporate records.

Annually the board of directors may conduct a performance review and evaluation of the president for the purpose of adjusting the salary going forward. This process involves the evaluation of the individual and a review of compensation of comparable positions obtained from compensation surveys. In addition, the executive committee of the board reviews and approves any calculations for compensation required by existing employment agreements.
