The form 990 is prepared by the external auditors and reviewed by management. Once all are satisfied with the form, it is finalized and the form is submitted to the irs.

Form 990, Part VI, Section B, Line 12C

At any board, board committee, or advisory board meeting at which discussion or voting occurs with respect to a company in which a covered person has the potential to derive a financial benefit, the covered person shall announce in advance that he or she has a potential conflict and shall recuse himself or herself from participating in such vote. The minutes of such meetings shall note that such covered person recused himself or herself. In addition, each covered person shall make a written disclosure once each year during the month of july, listing all potential conflicts with respect to any company already funded or assisted by the slater technology fund and state any forthcoming potential conflicts that may arise. Such disclosure statements shall be delivered to the corporation within 30 days of receipt of the request for disclosure. The corporation shall maintain such disclosure forms with the corporate records.

Form 990, Part VI, Section B, Line 15

Annually the board of directors may conduct a performance review and evaluation of the president for the purpose of adjusting the salary going forward. This process involves the evaluation of the individual and a review of compensation of comparable positions obtained from compensation surveys. In addition, the executive committee of the board reviews and approves any calculations for compensation required by existing employment agreements.

The organization is a not for profit charitable organization exempt from federal income taxes as a public charity under section 501(c)(3) of the internal revenue code. Management believes that slater operates in a manner consistent with its tax exempt status at both the federal and state level. The oraganization annually files irs form 990 - return of organization exempt from income tax, reporting various information that the irs uses to monitor the activities of tax exempt entities. These tax returns are subject to review by the taxing authorities, generally for three years after they were filed. There are no tax examinations in progress for either entity.
