Governance Explanations

Form 990, Part VI, Section B, line 11

The Board including the audit committee reviews a draft of Form 990, and after recommended changes are made the form is sent electronically to all board members for their review. If no changes are suggested by other board members within 5 business days the form is filed with the IRS.

Form 990, Part VI, Section B, line 12C

All conflict of interest forms returned by board members are provided to the president. Any forms where a conflict is disclosed are presented to the executive committee. The executive committee then determines what action is required (if any) to resolve the conflict and verifies the transaction is executed in the best interest of the Foundation.

Form 990, Part VI, Section B, line 15

The compensation committee is responsible for determing the chief executive officer's compensation. The compensation committee uses various sources of information including other 990's, compensation studies, compensation consultants and other factors that are unique to the Foundation. In addition, the compensation committee approves the compensation and benefits for the next four highly paid executives (including the chief financial officer) of the Foundation based upon the recommendations of the chief executive officer.

Financial Statement Notes

Part III, Line 1A:

The Foundation's collection of beluga whales, seals, fish and other animals are not captialized in its financial statements and are charged to expense as incurred. In addition the Foundation owns one donated unauthenticated Pollack painting and several historical artifacts from IFE explorations.

Part III, Line 4:

The Foundation's animal collection is viewed by approximately 675,000 visitors each year. The visit by each individual helps to inspire people to care for and protect our ocean planet.

Support of the Foundation's ongoing education programs and animal care.

Part X, Line 2:

SRF has no unrecognized tax benefits as of December 31, 2015 and 2014. SRF's Federal and state tax returns prior to calendar year 2012 are closed and management continually evaluates expiring statutes of limitations, audits, proposed settlements, changes in tax law and new authoritative rulings
