Governance Explanations

Form 990, Part VI, Section A, Line 2

Bridget krauss and karl krauss have a family relationship.

Form 990, Part VI, Section B, Line 11B

The bridge academy has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization for any comments. Any comments are then summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

The academy has a written conflict of interest policy that applies to employees and board members of the academy. Employees and board members are asked to review the conflict of interest policy on an annual basis and to disclose any potential conflicts. When a conflict of interest is relevant to a matter requiring action by the board, the interested person(s) must call it to the attention of the board and said person, if a board member, cannot vote on the matter. In addition, the person(s) will not participate in the final deliberation or decision regarding the matter under consideration and will retire from the room during the vote of the board. When there is a doubt as to whether a conflict exists, the matter is resolved by vote of the board, excluding the person(s) concerning whose situation the doubt has arisen.

Form 990, Part VI, Section B, Line 15A

The governing board determines the organization's director of operations compensation annually using salary comparability data, such as the bridgeport public schools salary schedule. The compensation is voted on and approval is documented. The year the process was last undertaken was 2021.

Form 990, Part VI, Section C, Line 19

The academy makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, and governing documents are also available upon written request.

Additional Explanations

FORM 990, PART XII, LINE 2C:

The academy has a committee that assumes responsibility for oversight of the audit of its financial statements and selection of an independent accountant. This process did not change from the prior year.

Financial Statement Notes

PART X, LINE 2:

The school is generally exempt from income tax under section 501(c)(3) of the u.s. Internal revenue code. The school recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the school had no uncertain tax positions that would require financial statement recognition or disclosure. The school is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to july 1, 2018.
