Founded in 1997, pro bono partnership provides business and transactional legal services to nonprofit organizations that serve the poor and disadvantaged and improve the quality of life in neighborhoods in new york, new jersey and connecticut. Our in-house legal staff recruits and supports attorneys from major corporations and law firms who donate their time to advise our clients on business legal matters, helping them to increase their effectiveness and enhance their ability to provide services. Each year, on average, the partnership recruits over 1,200 volunteer attorneys to assist 800 nonprofit organizations with 1,500 legal matters. Additionally, staff attorneys respond to 1,300 legal helpline inquires from nonprofits and attorneys.
To provide high-quality, free or low-cost business legal services, educational workshops, and other legal resources to nonprofit organizations that serve the poor or disadvantaged or otherwise contribute to the quality of life in our communities. To engage business attorneys in corporations and law firms, in providing pro bono legal services to nonprofit organizations, with a particular focus on engaging volunteers from corporate legal departments.

“The organization has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. The executive director and the audit committee of the organization will review the form 990 prior to circulating it to the governing body (board members) to ensure that it correctly reflects all activities and policies of the organization. After the audit committee reviews the form 990, it will be circulated electronically to the governing body who will have one week to comment. Any questions, suggestions or concerns from any board member with respect to the form 990 will be addressed by a member of the audit committee prior to filing.”
“The organization has adopted a conflict of interest policy. The policy is applicable to directors, officers, and their immediate family members. Immediately upon election or appointment as a director or officer, all directors and officers shall disclose any relevant interest of an interested party or related party as they relate to such director or officer which may pose a potential conflict of interest. Said disclosure statements shall be updated by the officer or director as necessary to reflect material changes in circumstances. If any question may arise in the mind of any director or officer of pbp as to a potential conflict between his or her own individual interest, those of an immediate family member, or those of a related party and the interest of pbp, full disclosure of all facts pertaining to such potential conflict shall be made to the board of directors. Fact-gathering and subsequent review by the board of directors will determine whether or not an actual conflict exists or possibly would occur. A. The board of directors of pbp (or a duly appointed committee of the board) shall investigate the potential conflict of interest. B. The director or officer to whom the potential conflict of interest relates may offer factual information to the board or committee; but no such director or officer shall vote on such matter. The board or committee may, by majority vote, ask any such director or officer not to participate in any discussion relating to the conflict, or to leave the room in which such discussion is carried on; provided, however, that the interested director may participate in any discussion regarding his or her exclusion. C. Directors and officers to whom the potential conflict of interest relates shall not attempt to influence other directors regarding such matter. D. After conducting due diligence, the board or committee shall determine by a majority vote of the disinterested directors whether a conflict of interest exists and, if so, whether it is in the best interests of pbp to waive the conflict. E. The following information shall be recorded in the minutes of the meeting of the board or committee: i. The names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present or should be waived, and the board's or committee's decision with respect thereto; and ii. The names of the persons who were present for discussions and voters relating to the potential conflict, the content of the discussion, and a record of any votes taken in connection therewith.”
“Prior to the last board meeting each year, the executive committee meets in executive session (i.e. Without the executive director) to discuss a salary increase and bonus, if any. The determination is based on a variety of factors including: the executive director's performance and a review of what other non-profit legal organizations are paying their executive directors and other appropriate and adequate data. Based on conclusions reached at this meeting, a memo is drafted summarizing the executive committee's findings and then distributed to the board in preparation for a discussion and vote at the last board meeting of the year. The executive director is not present during this discussion and has no awareness of the executive committee's recommendations until after the meeting. The board's decisions on the amount of compensation are adequately documented in a contemporaneously written format, setting forth the date of the decision, the members present during the decision and those who voted on it, the full terms of the transaction that was approved and the comparable data used and relied on to make the decision. The same procedures apply for other officers or key employees of the organization. This process last took place in december 2016.”

OUR IN-HOUSE LEGAL STAFF RECRUITS AND SUPPORTS ATTORNEYS FROM MAJOR CORPORATIONS AND LAW FIRMS WHO DONATE THEIR TIME TO ADVISE OUR CLIENTS ON BUSINESS LEGAL MATTERS, HELPING THEM TO INCREASE THEIR EFFECTIVENESS AND ENHANCE THEIR ABILITY TO PROVIDE SERVICES. EACH YEAR, ON AVERAGE, THE PARTNERSHIP RECRUITS OVER 1,000 VOLUNTEER ATTORNEYS TO ASSIST 700 NONPROFIT ORGANIZATIONS WITH 1,500 LEGAL MATTERS. ADDITIONALLY, STAFF ATTORNEYS RESPOND TO 1,450 LEGAL HELPLINE INQUIRES FROM NONPROFITS AND ATTORNEYS. |
