Governance Explanations

Form 990, Part VI, Section B, line 11

A draft copy of the Federal Form 990 was provided in electronic format to all members of the Board of Directors of the Organization. A period of time was given for the members to review the draft of the Federal Form 990 and provide comments and questions to the CFO and controller of the Organization. When deemed appropriate, changes were made based on these comments to the draft version of the Federal Form 990 prior to its filing with the IRS.

Form 990, Part VI, Section B, line 12C

On an annual basis members of the Board of Directors are required to review the Organization's conflict or interest policy and disclose to the Organization any potential conflicts of interest.

Form 990, Part VI, Section B, line 15

The Organizations employs an external compensation consultant and uses data from a comparable compensation survey. The consultant makes recommendations based on the survey data. The Board's Executive Committee reviews the recommendation and decides the President's compensation. Using data from the survey, the President reviews the COO, while the President and COO jointly review the rest of the Organization's management team.

Form 990, Part VI, Section C, line 19

The Organization's financial statements are available upon request of the Organization as well as at the Office of the Attorney General for the state of Massachusetts. Governing documents are available at the Office of the Secretary for the State of Massachusetts.

Financial Statement Notes

Part X, Line 2:

JFF is a non-profit corporation organized under the laws of Connecticut and is exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code. Accordingly the financial statements do not reflect a provision for income taxes. This determination has been reviewed according to guidance in a recent Financial Accounting Standards Board pronouncement related to accounting for uncertainty in income taxes. In determining the recognition of uncertain tax positions, JFF applies a more-likely-than-not recognition threshold and determines the measurement of uncertain tax positions by considering the amounts and probabilities of the outcomes that could be realized upon ultimate settlement with taxing authorities. As of September 30, 2016, JFF has no uncertain tax positions that qualify for either recognition or disclosure in the financial statements. The organization is generally subject to potential examination by taxing jurisdictions for the prior three years.
