Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

The Organization's audit firm prepares the IRS Form 990 from information provided by the Organization. A draft copy is reviewed and approved by management. The draft copy is then forwarded to the Audit Committee for their review and input, if any. The draft is then presented to the complete Board of Directors for their review and input, if any. The final copy is then filed with the Internal Revenue Service.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The Board of Directors and key employees are required to complete a conflict of interest disclosure form annually, and update the form at any time that the interest becomes a matter of discussion by the Executive Committee, and action taken as needed.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The Executive Committee of the Board of Directors serves as the Compensation Committee and reviews individual compensation of the CEO and other members of senior staff, whose compensation is reportable on Form 990 on an annual basis. Compensation of other members of the Organization are approved as a part of the annual budget process. The process includes the procurement of comparability data from external independent sources. The Executive Committee then makes a recommendation to the Board of Directors for their review and action.
