“In september of 2015, the board of directors approved revisions to the organization's bylaws. Many of the changes are minor. Changes made were to add clarifying language, consistent terminology throughout and to align with best practices in order for the organization to operate as efficiently as possible. For example, a change was made to clarify what constitues a quorom of board members is to be based on the number of directors in office at the time of the meeting/vote. The bylaws also simplified the requirement for a majority from 2/3 to a simple majority when a simple majority is allowed by law. The bylaws clarified the duties in the case of a vacancy in the executive director position. The bylaw language was also aligned with the organization's conflict of interest policy and process.”
“A copy of form 990 is provided to the board of directors for review prior to filing.”
“The conflict of interest policy and the annual disclosures of interests that could give rise to conflicts are reviewed annually by the board of directors.”
“The compensation process for the executive director was determined by the board of directors who review the compensation annually. The board consists of individuals with strong business experience as well as experience with other not-for-profit organizations.”
“The organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.”

“The organization has transferred assets to the community foundation of greater new britain (the foundation) which is holding them as an endowed component fund ("fund") for the benefit of the organization. The organization has granted the foundation variance power which gives the foundation's board of directors the power to use the fund for other purposes in certain circumstances. The fund is subject to the foundation's investment and spending policies which currently result in a distribution to the organization of 4 percent of the average quarterly value over the previous 20 quarters as of september 30 each year. The organization reports the fair value of the fund as endowment investment in community foundation of greater new britain in the statement of financial position and reports distributions received as investment income. Changes in the value of the fund are reported as gains or losses in the statement of activities. These donor-restricted endowment funds are restricted to investment in perpetuity, the income from which is expendable to support general operations.”
“The organization is exempt from federal income taxes under section 501(c) (3) of the internal revenue code, except on net income derived from unrelated business activities. For the year ended june 30, 2016, the organization has determined that no income taxes are due for its activities. Accordingly, no provision for income taxes has been recorded in the accompanying financial statements.
