The 990 is prepared by an independent accountant and reviewed by the ceo, cfo, finance committee and board of trustees prior to filing.

Form 990, Part VI, Section B, Line 12C

There are conflict of interest policies for both the board of trustees and staff. The board of trustees and employees are required to review and sign off on the policy annually and disclose at any point they became aware of a potential or actual conflict. Employees, volunteers, interns and trustees are also oriented to the policies on hire and annually. Disclosure statements are reviewed by the applicable department vice president and the vice president of human resources for actions as required. The qa vice president keeps data on the number and type of conflicts reported and actions taken.

An outside, independent firm has been engaged with our board of trustees on three occasions since 2004 to review executive compensation. An update in 2008 was completed and included comparability data. The compensation committee of the board of trustees performs the executive compensation review on an annual basis. An executive compensation philosophy statement, providing general guidelines for implementing the executive compensation program, was also finalized and approved by the board of trustees.

Financial Statement Notes

PART X, LINE 2:

The organization has implemented the accounting guidance for uncertainty in income taxes using certain provisions of asc 740, income taxes. Using this guidance, tax positions initially need to be recognized in the financial statements when it is more-likely-than-not that the position will be sustained upon examination by the tax authorities. As of june 30, 2014 and 2013, the clinic has no uncertain tax positions that qualify for either recognition or disclosure in the financial statements and believes that it has appropriate support for income tax positions taken in its tax returns. Currently, the clinic's federal informational returns for fiscal years 2010-2012 remain open to inspection by the irs.

Part iv, line 11f: as of june 30, 2014 and 2013, the clinic has no uncertain tax positions that qualify for either recognition or disclosures in the financial statements and believes that it has appropriate support for income tax positions taken in its tax returns. Part v, line 4: it is the policy of the clinic's board of trustees to distribute annually up to 5% of a trailing three calendar year average of the board designated endowment total asset value, with the understanding that this spending rate plus inflation will not normally exceed total real return (return net of inflation) from investments. On the recommendation of the chief executive officer and the finance committee, the board of trustees may approve additional distributions from the board designated endowment fund for investments in new programs or facilities or other urgent clinic needs. The finance committee will periodically review the spending policy against actual returns in order to make adjustments necessary for the preservation of purchasing power of the board designated endowment fund.
