Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the center's independent accountants based upon the audited financial statements and supplemental information provided by the fiscal management team. The draft 990 is presented to the organization's finance committee by the cfo. After review by the finance committee, the form 990 is presented to the board of director's for review and approval prior to submission to the irs.

Form 990, Part VI, Section B, Line 12C

The board secretary distributes the organization's conflict of interest and code of professional ethics policies to all directors and officers annually. Each officer and director is required to sign a statement which affirms that they have received a copy of the conflict of interest policy; has read and understands the policy; and has complied with the policy.

Form 990, Part VI, Section B, Line 15

Under the organization's by-laws, the executive committee is responsible for conducting the annual performance review of the president/ceo and making its recommendation to the board regarding compensation and benefits. The board of directors is responsible for the employment, discharge and compensation of the president/ceo. The executive committee is provided with comparative compensation data from the mental health corporation of america (mhca), connecticut association of nonprofits (can), connecticut community providers association (ccpa) and hartford business journal for the president/ceo, medical director, senior vice president & cfo and vice president of services. The president/ceo determines the compensation of the other officers and the amounts are included in the organization's annual budget. The annual budget is reviewed and approved by the board of directors.

Form 990, Part VI, Section C, Line 19

Governing documents are made available upon request. The conflict of interest policy is part of the personnel policy manual, which is issued annually to all employees and to new employees upon hire during orientation and is made available upon request. Annually, following the board of directors approval, the consolidated audited financial statements for united social and mental health services, inc. & subsidiaries are submitted to funding sources and the banks and are made available upon request. The form 990 is also available through guidestar.org.

PART X, LINE 2:

Management has analyzed the tax positions taken by the agency and has concluded that, as of june 30, 2024 and 2023, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the consolidated financial statements. The agency's federal and state information returns prior to fiscal year 2021 are closed and management continually evaluates expiring statutes of limitations, audits, proposed settlements, changes in tax law and new authoritative rulings.

OUR PRIMARY SERVICE AREA IS THE 21 TOWNS IN NORTHEAST CONNECTICUT. CLIENT SERVICES ARE AVAILABLE IN 8 LOCATIONS, INCLUDING THREE MAIN OFFICES LOCATED IN DAYVILLE, WAUREGAN AND WINDHAM.
