“(a) the executive committee shall consist of not less than nine trustees. It shall have the power to transact all regular business of the corporation during the interim between the meetings of the board of trustees, and its actions shall have the same force and effect as actions of the board of trustees; provided that the executive committee may not: (i) approve or recommend to members action that connecticut law requires be approved by members; (ii) fill vacancies on the board of trustees or on any committee empowered to act on behalf of the corporation; (iii) adopt, amend or repeal bylaws; or (iv) approve a plan of merger, approve a sale, lease, exchange or other disposition of all, or substantially all of the property of the corporation, or approve a proposal to dissolve. The committee shall report it actions and recommendations to the board of trustees at each board meeting. (b) the chair, each vice chair, president, secretary and treasurer of the corporation, the president of the alumni council and the chair emeritus, if any, shall be members of the executive committee. In addition, a minimum of two elected trustees, at least one of whom shall be a parish clergy person, shall be members of the executive committee as of the day immediately following each annual meeting of the corporation.”

Additionally, the committee considers general compensation trends in academic institutions, as well as the report on compensation of peer institutions produced by the accrediting association for theological schools. The president also prepares a self-assessment, which is provided to the executive committee as well as the board chair prior to the president's review meeting. The deliberation and decision regarding his compensation is documented. This process occurs on an annual basis.”
