“The "members" are the friends of the library, who are comprised of any individuals who have made, for the prior fiscal year, a contribution of money or property.”

“The review of the form 990 is a multi-step process. Following the completion of the external auditor's report and the audit committee's review and approval of the financial statements, all reports and prepared filings, including the form 990, are distributed to the board for review before filing.”

“No library trustee may use his or her position as a trustee to obtain financial or other gain for the private benefit of the trustee, the trustee's family, or any organization with which the trustee is associated. No trustee shall accept or receive, directly or indirectly, any money or anything of value or any promise for future benefit, from any person or entity that does business with darien library. Each trustee and key employees are required to sign a copy of the library's conflict of interest policy, which is reviewed and updated annually.”

“The executive committee of the board of trustees annually requires the library director to submit a written self-evaluation and description of goals achieved and/or key performance metrics. This is discussed by members of the executive committee and then reviewed with the library director. The executive committee analyzes relevant and comparable salary data for library directors and votes to approve the library director's annual salary. Toward the end of each fiscal year, the library director reviews the written self-evaluations of all key employees and writes an evaluation of each key employee, with consideration of goals achieved and key performance metrics. Likewise, each department head follows the same performance review process to evaluate each of their direct reports and makes a recommendation to the library director for each employee's annual salary. The library director reviews all relevant and comparable salary data for each employee position and approves the annual salaries.”

“The library's governing documents and operational policies are posted on the library's website. The library's bylaws, conflict of interest policy, and financial statements are available to the general public upon request.”
