“All individuals, firms, corporations and organizations interested in the economic well being of the providence and rhode island area, and who desire to uphold and promote the objectives of the chamber, shall be eligible for membership, subject to the approval of the board. Every member of the chamber is entitled to one vote in any election, referendum or membership meeting. In addition, members who exceed minimum membership dues-investment schedules may have multiple votes by designating employees as members of the chamber in order to represent the firm on committees and in the event of elections, meetings, or referenda. The number of votes permitted to each such member firm shall be based upon the multiples of the minimum membership dues-investment paid by such member, but shall not exceed ten (10) in number for any member. No voting by proxy shall be permitted. Only members whose dues are current shall be eligible to vote on any matter which is to be voted upon by the membership, including but not limited to the election of members of the board.”

“During the last week in may, the nominating and governance committee shall cause to be published in a chamber publication a notice that such committee will accept, from the membership of the chamber, the names of members to be considered as candidates for nomination to the board. On or about july 15th, the nominating and governance committee shall present to the chair a written report containing a slate of candidates to replace the directors whose regular three year terms are expiring. The nominating and governance committee will confirm by personal contact with the candidates that they are willing to accept directorship responsibility if elected. Upon receipt of the report of the nominating and governance committee, the president shall immediately notify the membership, through appropriate means which many include publication in a chamber publication or mail or other means, as to the names of persons nominated as candidates for membership on the board, and the right of petition as provided in the bylaws. Additional candidates for membership on the board from among the membership can be nominated only by petitions in support of a member or members, signed by the nominee and bearing the genuine signatures of at least fifty (50) other members of the chamber eligible to vote. Such petitions shall be filed with the nominating and governance committee at the office of the chamber within ten (10) days after notice has been given to the members of the names of those nominated. If no petition is filed within such ten day (10) period, the nominations shall be closed and the slate of candidates proposed by the nominating and governance committee shall, without further action of the membership or of the board, be elected to replace the directors whose regular three-year terms are expiring. In the event that one or more petitions is filed, and a vote of the members is required, the names of all candidates, whether nominated by the nominating and governance committee or by petition, shall be arranged on the ballot in alphabetical order. No indication shall be made on the ballot to identify the candidate as either a candidate nominated by the nominating and governance committee, or by petition. The candidates who receive the most votes shall be elected to membership on the board.”

“A copy of the form 990 is provided to all members of the board of directors prior to filing. Each member of the board reviews the package and approves it for filing.”

“All board members are provided a copy of the conflict of interest policy annually and are required to complete the acknowledgement and disclosure form. All potential conflicts of interest are reported through the annual disclosure form and/or by written disclosure whenever a conflict arises. The completed forms are reviewed by the nominating and governance committee.”

“An executive compensation committee reviews prior year's performance and discusses the president's current contract terms. The results of this deliberation are shared with the entire board of directors at which time all directors may share their perspective on the organization's performance and review and ratify the president's contract terms.”

“The organization's governing documents, conflict of interest policy, and financial statements are available upon request.”
