The clinical research forum is an organization comprised of the nation's prestigious and acclaimed academic health centers whose goal is to sustain and expand a cadre of talented, well trained clinical investigators at all stages of career development, and support nurturing environments and comprehensive research capacities within academic institutions. The mission of the forum is to provide leadership to the national clinical and translational research enterprise and promote understanding and support for clinical research and its impact on health and health care.

Governance Explanations

Form 990, Part VI, Section A, Line 3

The clinical research forum, inc. (crf) has entered into a management contract with smithbucklin corporation. Under the terms of this agreement, crf makes payments to smithbucklin which cover staff salaries, executive director, and other overhead expenses. The fees incurred by crf during the current fiscal year were $279,884 which were broken down as follows: executive management - $77,250 membership and operations services - $125,992 event services - $28,743 marketing and communications - $8,349 creative and design services - $5,150 financial management and accounting - $16,500 amps platform and support - $17,096 project printing and support - $804 smithbucklin's performance under this agreement is monitored by the board of crf.

The organization's members shall be academic health centers that are interested in participating in the activities of the corporation or supporting its mission and purpose and that pay dues in accordance with the corporation's requirements.

Directors shall be elected by a plurality of the votes cast to a three (3) year term by the crf members at the annual meeting or at any special meeting held in lieu thereof, from a slate of one (1) or more candidates selected by the nominating committee for each open position.

Each crf member shall have an equal vote at every meeting of the members. Unless otherwise provided by law, the certificate of incorporation or these by-laws, an affirmative vote of the majority of the crf members present and entitled to vote shall decide every question.

Financial Statement Notes

PART V, LINE 4:

A temporarily restricted fund has been established to support the herbert pardes clinical research excellence award. Per the donor's instructions, the contributed funds and related earnings thereon are required to be segregated in a separate investment account to pay a $5,000 annual award. However, in the event the invested funds do not generate sufficient income in a given year, the organization is authorized to expend additional funds from the related investments to make an award.

PART X, LINE 2:

The organization believes that it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the financial statements or that would have an effect on its tax-exempt status. There are no unrecognized tax benefits or liabilities that need to be recorded.
