Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee is made up of the board chair, vice chair, treasurer and secretary. The executive committee may act independent of the full board in cases where board action must take place other than at the quarterly board meetings. The executive committee reports all activity to the full board.

Form 990, Part VI, Section A, Line 2

Vacharee s. Peterson and andrew f. Peterson have a family relationship.

Form 990, Part VI, Section B, Line 11

On april 13, 2015 the finance committee and the audit committee meet and the form 990 is presented to them by the external auditors. The finance/audit committee recommends that the form 990 (if they are in agreement with the form 990) be presented to the full board at their meeting on april 17, 2015. This presentation to the full board is again made by the external auditors.

Form 990, Part VI, Section B, Line 12C

All board members and staff members are required to sign a conflict of interest statement. The cfo is responsible for monitoring the conflict of interest policy. If there is a conflict of interest by a member of the board, the director may be present for discussion and to answer questions, but may not advocate for the action to be taken and must leave the room while a vote is taken.

Form 990, Part VI, Section B, Line 15A

The executive committee of the board annually reviews and presents compensation for the ceo to the full board for approval. The compensation information is received from the external auditors. The ceo annually reviews and determines the compensation of other officers of the corporation.

Form 990, Part VI, Section C, Line 18

The form 990 is availabe online at the charities review council and at www.guidestar.org.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public through the charities reveiw council and upon request.

IRS990/Desc0COMMUNITY DENTAL CARE CONTINUED TO PARTICIPATE IN THE PICOH (PROGRAM FOR IMPROVING COMMUNITY ORAL HEALTH) PROGRAM. CHILDREN 0 - 12 YEARS OF AGE AND PREGNANT WOMEN ARE GIVEN EXTENDED ORAL HYGIENE AND NUTRITION INSTRUCTION, PROVIDED WITH FOLLOW UP CALLS TO THE HOME, AND TREATED FOR PREVENTIVE AND RESTORATIVE ORAL HEALTH NEEDS. OF THE 3,525 ENROLLED CHILDREN, 91% WERE ON PUBLIC ASSISTANCE, 2.2% HAD NO INSURANCE, 28.1% WERE HMONG, 25.6% WERE KAREN, AND 32.7% WERE OTHER MINORITIES (TOTAL = 86.4% MINORITY). PROGRAM EVALUATION INDICATES A SIGNIFICANT NEED FOR INCREASED DENTAL ACCESS TO THIS GROUP: 51% OF CHILDREN RECEIVED FOLLOW-UP RESTORATIVE CARE DURING 2014. THERE WERE 250 PREGNANT WOMEN ENROLLED IN THE PROGRAM IN 2014. ONE OF THE GOALS OF THIS PROGRAM IS TO TEACH IMMIGRANT AND MINORITY WOMEN THE IMPORTANCE OF ORAL HYGIENE AND REDUCE PERIODONTAL DISEASE, WHICH HAS BEEN LINKED TO EARLY LABOR AND LOW BIRTH-WEIGHT BABIES. IN 2008, AN ADDITIONAL OUTREACH FEATURE WAS ADDED TO THE PROGRAM WITH PRESENTATIONS GIVEN AT WIC CENTERS, EARLY CHILDHOOD EDUCATION CENTERS, AND LANGUAGE AND CULTURAL TRAINING CLASSES FOR IMMIGRANTS. IN 2014, A TOTAL OF 2,162 CHILDREN, PARENTS, AND PREGNANT WOMEN ATTENDED ONE OF THESE OUTREACH PRESENTATIONS. THE ORGANIZATION PROVIDED QUALITY PREVENTATIVE AND CORRECTIVE DENTAL SERVICES TO LOW INCOME RESIDENTS AND ETHNIC MINORITIES IN THE ST. PAUL/MINNEAPOLIS AND ROCHESTER METRO AREAS. DURING 2014 IT SERVED 37,419 PATIENTS, WITH 110,892 ENCOUNTERS.
