Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an external cpa firm and reviewed by the board of directors prior to filing.

Form 990, Part VI, Section B, Line 12C

All board and staff sign a form annually which lists their current principal employment, information that board may deem relevant when reviewing the submitted information, and listing positions with corresponding companies and non-profit organizations. All disclosure forms are kept and maintained by the board secretary and made available to all board and executive staff members. After full disclosure is made, the board executive committee shall review conflicts and refer issues to the full board of directors as it deems significant. These may include those that would authorize america walks to do business with a contractor or vendor of the board of directors or executive staff, but only after first approving the terms and conditions of the contract or fee. The director with the potential conflict shall abstain during such vote. Any committee decision will be reported to the board at its next meeting. Moreover, the director or any other person reporting a conflict and attending said meeting, shall retire from the room (or phone call) in which the board or committee is meeting and shall not participate in the final deliberations or decision regarding the matter under consideration. However, that person must provide the board or committee with any and all relevant information. The minutes of the meeting of the board or committee shall reflect that the conflict of interest was disclosed and that the interested person was not present during the final discussion or vote and did not vote.

Form 990, Part VI, Section B, Line 15

The executive committee reviews comparable compensation of executive directors of national and local oragnizations of similar size and budget, and voted on the executive director's salary.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and financial statements are made available to the public upon request.
