“The executive committee shall have the authority and responsibility, on behalf of the board of directors and in the interim between its meetings, for the governance of the corporation in furtherance of its purposes. The executive committee does not have the authority to i) approve a dissolution, merger or sale of all the corporation's assets; ii) appoint or remove directors; or iii) amend the bylaws or the articles of incorporation. The executive committee shall have such other authority and responsibility as the board of directors may from time to time delegate to it.”

“Draft copy of the federal form 990 is provided to the members who are on the board of directors at the time the form is availalbe for review. Board members have two weeks to review. Comments and suggestions from board members are compiled by the executive director and reviewed by the executive director and the finance committee. Changes deemed appropriate are reflected in the final federal form 990 submitted to the irs.”

“Gtl's programs benefit girls in east africa and gtl's board is exclusively based in the usa with no business interests in east africa. For this reason, conflicts of interest are unlikely. However, the gtl governance committee chair reviews the gtl conflict of interest policy with all board members annually and all board members are required to sign a form either declaring any conflicts of interest or declaring no conflicts of interest. If a conflict of interest were to be present, that individual would not have voting rights relating to matters involving the conflict.”
