Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall have the authority and responsibility, on behalf of the board of directors and in the interim between its meetings, for the governance of the corporation in furtherance of its purposes. The executive committee does not have the authority to i) approve a dissolution, merger or sale of all the corporation's assets; ii) appoint or remove directors; or iii) amend the bylaws or the articles of incorporation. The executive committee shall have such other authority and responsibility as the board of directors may from time to time delegate to it.

Form 990, Part VI, Section B, Line 11B

Draft copy of the federal form 990 is provided to the members who are on the board of directors at the time the form is availalbe for review. Board members have two weeks to review. Comments and suggestions from board members are compiled by the executive director and reviewed by the executive director and the finance committee. Changes deemed appropriate are reflected in the final federal form 990 submitted to the irs.

Form 990, Part VI, Section B, Line 12C

Gtl's programs benefit girls in east africa and gtl's board is exclusively based in the usa with no business interests in east africa. For this reason, conflicts of interest are unlikely. However, the gtl governance committee chair reviews the gtl conflict of interest policy with all board members annually and all board memebers are required to sign a form either declaring any conflicts of interest or declaring no conflicts of interest. If a conflict of interest were to be present, that individual would not have voting rights relating to matters involving the conflict.

Form 990, Part VI, Section B, Line 15A

The executive board of the committee used comparability data published by the third sector of new england to develop recommendations regarding the compensation of the executive director, which must be approved by the board. The compensation of the executive director is reviewed during the annual performance evaluation. When applicable, all other salaries are determined by the executive director and reflected in the budget which is approved by the board. The last time the salary was deliberated was in june 2022.

Gtl is a nonprofit corporation that is exempt from income taxes under internal revenue code section 501(c)(3) and, as a corporation organized under chapter 180 of the massachusetts general laws, it is also exempt from massachusetts income tax. Accordingly, no provisions for federal and state income taxes are made in these financial statements.

GTL'S SUCCESS RATE IS HIGH, WITH ALL GIRLS, SAVE TWO OR THREE, CONTINUING FROM ONE YEAR TO THE NEXT EVERY YEAR. FOR EACH OF THE PAST THREE YEARS, THE GRADUATION RATE IS 95 PERCENT. THE GRADUATION RATE IS DEFINED AS THE PERCENTAGE OF GIRLS STARTING SECONDARY SCHOOL WHO GRADUATE FOUR YEARS LATER. MORE THAN 2,000 YOUNG WOMEN HAVE GRADUATED FROM SECONDARY SCHOOL THANKS TO GTL.
