Governance Explanations

Form 990, Part VI, Section B, Line 11

Each member of the finance committee and executive committee will receive a copy of the form 990. They are given five days to review and respond with comments and questions before the return is filed. The form 990 is given to all board members for review prior to its filing.

Form 990, Part VI, Section B, Line 12C

Charles leonard, president, monitors conflicts of interest on a regular basis. This policy covers all directors, principal officers, and members of a committee with governing board delegated powers ("interested parties"). Each interested party must promptly report situations which may create a conflict of interest to the president and disclose all material facts to the board of directors, who will make a determination as to whether there exists a conflict of interest. In addition, on an annual basis, each interested party must receive a copy of the conflict of interest policy and must also execute a conflict of interest disclosure statement. The interested person with a potential conflict of interest will not be part of any board discussions or votes with respect to the conflict. Before a related party transaction is approved, the organization will get comparable quotes from other unrelated businesses to ensure that the transaction is reasonable.
