Governance Explanations

Form 990, Part VI, Section B, Line 11B

Irs form 990 is reviewed by management with the preparer and forwarded to the treasurer for review and approval. The form is then reviewed by management with the audit committee. Finally, a pdf copy of the complete return is provided to the entire board prior to submission.

Form 990, Part VI, Section B, Line 12C

Any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, is an interested person. Therefore, they must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, they shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. Peace first personnel also may not engage in any business or transaction, or have a financial or other private interest, either direct or indirect, that is in conflict with the organization's best interest. Because it is difficult to outline each and every situation in which a conflict that is detrimental to the organization or its personnel may arise, personnel should raise specific concerns with the peace first management team for further review.

Form 990, Part VI, Section B, Line 15

The ceo's salary is reviewed every 3 years by the board. The process for determining compensation of the ceo was last performed in fy 2016. Other senior management staff are reviewed annually by the ceo with appropriate documentation and sign-off by the chief operating officer. The overall level of salary increases is approved by the board as part of approving the annual budget.
