Governance Explanations

Form 990, Part VI, Section A, Line 8B

The organization does not have any other committees with authority to act on behalf of the governing board.

Form 990, Part VI, Section B, Line 11B

The senior director of finance and administration and chief operating officer review the form 990 before it is filed.

Form 990, Part VI, Section B, Line 15

The executive director is also a member of the board of directors. Compensation and employee benefits for services provided as executive director are determined and are based on performance objectives and are in comparison to other organizations. The independent members of the board of directors approve her salary. The process for determining and approving the compensation and benefits for the chief operating officer is the same. The senior director of finance and administration and the associate director of human resources research the average cost of living increase and make the recommendation to the chief operating officer. The chief operating officer then approves the percentage increase for the director and associate director to receive.
