The board of directors approves the executive director's total compensation based upon review of comparable data that consists of compensation of executive directors of similar organizations. The organization has engaged an independent compensation consultant who issued a report certifying that the executive director's compensation is reasonable compensation as defined in 26 cfr section 4958-4(b)(ii). The board of directors documents its deliberations and decisions in the applicable minutes for the board meeting during which the approval of the executive director's compensation takes place.

FOR OVER THIRTY YEARS, MR. DRAKE HAS BEEN EXTENSIVELY INVOLVED IN THE DAY TO DAY OPERATIONS AS WELL ESTABLISHING THE LONG-TERM VISION FOR THE GROWTH AND FINANCIAL STABILITY OF THE SCHOOL. TODAY, 30 YEARS AFTER ITS FOUNDING, WHITE OAK SCHOOL IS A WELL-RESPECTED MEMBER OF THE SPECIAL EDUCATION COMMUNITY IN THE STATE. MR. DRAKE HAS BEEN INSTRUMENTAL IN THE ACQUISITION AND DEVELOPMENT OF THE SCHOOL'S FORTY-ACRE CAMPUS LOCATED IN WESTFIELD MASSACHUSETTS. THE SCHOOL HAS SEEN ALL OF ITS STUDENTS PASS THE STATE'S MCAS TESTS, AND IT HAS A COMMENDABLE COLLEGE MATRICULATION RATE AND HAS BEEN NAMED A SCHOOL OF EXCELLENCE BY THE NATIONAL ASSOCIATION OF SPECIAL EDUCATION TEACHERS BY PRUDENT MANAGEMENT OF STUDENT ENROLLMENT AND CAREFUL SCALING OF FACULTY NUMBERS AND OTHER EXPENSES IN PROPORTION, THE SCHOOL HAS OPERATED CONSERVATIVELY AND SUCCESSFULLY SINCE ITS INCEPTION. UNDER MR. DRAKE'S LEADERSHIP, IT HAS ESTABLISHED SIGNIFICANT FINANCIAL RESERVES FOR A SCHOOL OF ITS SIZE AND IS WELL POSITIONED FOR THE FUTURE. IT IS NOW, BY FAR, THE MOST SUCCESSFUL, COMPREHENSIVE, STATE-APPROVED SCHOOL FOR DYSLEXIC/LEARNING DISABLED STUDENTS IN WESTERN MASSACHUSETTS. IN FISCAL YEAR 2019, INDEPENDENT MEMBERS OF THE BOARD OF DIRECTORS ENGAGED A NATIONAL COMPENSATION CONSULTING FIRM TO CONDUCT A STUDY OF THE HISTORIC COMPENSATION MR. DRAKE HAS RECEIVED FROM THE SCHOOL. THE COMPENSATION CONSULTANT FOUND THAT MR. DRAKE HAS BEEN HISTORICALLY UNDERCOMPENSATED OVER HIS THIRTY YEARS OF SERVICE AND CALCULATED THE PRESENT VALUE OF THE UNDER COMPENSATION FOR MR. DRAKE WAS $1,118,620. IN CONNECTION WITH THE FINDINGS OF THE NATIONAL COMPENSATION CONSULTING FIRM, THE BOARD OF DIRECTORS INCREASED MR.
