Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee has authority to act on behalf of the board of directors. This committee consists of the chair of the board of directors, terry andreas, vice-chair, john waggett, treasurer, james jackson, and trustee, christy uchida.

Form 990, Part VI, Section B, Line 11B

A copy of the form 990 is distributed to the treasurer and president of sfs for their review and approval. Also, a copy of the form 990 is distributed to the school's finance committee which is comprised of 5 members of the school's board.

Form 990, Part VI, Section B, Line 12C

The school requires key employees, officers and committee members to complete an annual disclosure form to ensure all conflict of interest relationships, if any, are disclosed. If there is a conflict of interest relationship to be considered, the school will reference its conflict of interest policy prior to entering into any transactions or arrangements. Additionally, the school encourages personnel to inform the appropriate key employees, trustees, officers, etc. When the individual becomes aware of a possible conflict of interest to which the school may not be aware. In addition the person with conflict does not participate in deliberations on the potential or vote on the matter. This process is overseen by the governance committee.

Form 990, Part VI, Section B, Line 15

The school use companalyst to compare annual market rate. Members of the board of trustees meet annually to determine the compensation within the school. Compensation levels are set by the board, which authorizes a compensation pool in the budget for the fiscal year, and whose executive committee reviews and authorizes the compensation of the president. The president authorizes the compensation of those who report directly to him/her and whose performances he/she reviews annually. The process described here was last completed in 2023.

Form 990, Part VI, Section C, Line 19

The school makes its governing documents and its financial statements available to the public upon request.
