Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is presented to the finance committee by the finance controller upon receipt from the auditor. The finance committee reviews the form and requests corrections or clarifications. Once the finance committee is satisfied with the form, they vote to recommend its approval by the board of directors. The board then reviews the form and sends any questions back to the finance committee, the finance controller and the auditor. Once the board is satisfied, they vote to approve the form 990.

All directors and employees are required to sign off that they have reviewed and disclosed any conflicts of interest annually. The executive director reviews the forms and brings all conflicts to the president of the board and executive committee for their review.

The executive director's salary was set based on the market rate for executive directors serving similar size/function organizations in hampshire county in 2017. Data for the market scan was collected. The center determines salaries based on market rates for similar positions, the rise in cost of living, job performance and its organizational commitment to have a $15 minimum hourly wage for all part-time and full-time employees. All compensation and related benefits are reviewed and approved by the independent board of directors as part of the annual budget process.
