Governance Explanations

Form 990, Part VI, Section A, Line 3

Tent city apartments llc (tca) and warren affordable housing llc (wah) are managed by an unrelated entity. In accordance with the tca's management agreement with peabody properties, inc., the management agent ("peabody") is entitled to a base fee of $12 per unit for accounting expenses as well as a general management fee of 4% of what tca collects for rental revenue each month. The general management fee will be paid on the 9th day of the following month, subject to approval of the company. During the year ended december 31, 2024, the company incurred base management and accounting fees of $288,422 and $41,095, respectively. Wah entered into an agreement with peabody, effective december 1, 2020, which entitled peabody to a management fee calculated at 4% of total effective income. During the year ended december 31, 2024 the company incurred a management fee of $30,915 and to peabody.

Membership is open to all residents of the tent city apartments and warren ave apartments who are eighteen years or older and pay an annual membership fee as set from time to time by the board of directors. In order to qualify for membership, an applicant must agree to a commitment to the corparation's goals.

Financial Statement Notes

PART IV, LINE 2B:

In accordance with the amended and restated certificate and agreement of limited partnership of leighton park limited partnership (lplp) (the original owner of the project of tca), lplp is required to pay cornerstone capital limited (the original syndicator) a disposition fee in the amount of 1% of the sales price at the time of the sale of the project. The project was sold and lplp was dissolved as of december 31, 2006. At the time of sale, an initial deposit of $736,057 funded the disposition fee escrow held by eastern bank. As of december 31, 2024 the disposition fee escrow balance was $573,637. The organization also has security deposits payable totalling $356,672 for the year ended december 31, 2024.
