The board of directors reviewed the form 990 prior to its filing and authorized the organization's president to sign it.

Form 990, Part VI, Section B, Line 12C

The board of directors requires an annual declaration from all board members and senior management as to the existence and disclosure of any potential conflicts of interest. The board members sign a disclosure statement. Any potential conflicts are reviewed by the dis-interested board members, or independent third parties. Board procedure includes having the interested party leave the room during discussion and voting on related party transactions. Contemporaneous board meeting minutes document the decisions.

Form 990, Part VI, Section B, Line 15

A compensation committee of dis-interested directors evaluates the performance of the executive director annually and recommends compensation for the executive director and the chief operating officer. The committee obtains and reviews comparability data, including reports by an independent compensation consultant engaged to perform a salary review using comparability data. The committee then develops a recommendation as to compensation for the ceo and coo using ranges established by the independent consultant. The dis-interested members of the full board then consider this recommenation and approve compensation packages for the executive director and chief operating officer. This process is intended to ensure that the compensation paid to the ceo and coo falls within a reasonable range of competitive practices for comparable positions among similarly situated organizations and is approved in a conflict of interest free manner.

Tax position: the organization currently evaluates all tax positions, and makes a determination regarding the likelihood of those positions being upheld under review. The primary tax positions made by the organization are the existence of unrelated business income tax and the organization's status as a tax-exempt organization under section 501(c)(3) of the internal revenue code. For the years presented, the organization has not recognized any tax benefits or loss contingencies for uncertain tax positions based on this evaluation. All tax periods prior to fy 2010 are no longer subject to examination by tax authorities.
