“Masco consists of a number of member institutions that have full and exclusive voting rights and are referred to as members of the corporation. Voting membership in the corporation is limited to organizations exempt from federal income taxation under the provisions of section 501(c)(3) or section 115 of the internal revenue code. Members are represented at any meeting of the members by their respective chief executive officer, a member of their governing board, or by such person as may be designated in writing and delivered to the president or clerk of the corporation. Each member of the corporation shall continue to be a member until such member's dissolution or resignation or until such membership is terminated as provided by the by-laws or by action of the members or directors.”

“Masco does regularly and consistently monitor and enforce compliance with its conflict of interest policy as follows: a copy of the policy is distributed at the annual board meeting and also with the annual disclosure packet. Masco requests all directors, officers and key employees to complete and submit an annual disclosure statement, which asks the individual completing the statement to describe any existing conflict or state that he or she is aware of none. Masco's governing board actively addresses potential conflicts of interest at meetings where new transactions are contemplated. Masco requires each director, officer and key employee to complete a questionnaire in addition to the annual disclosure statement, which serves both to assist masco in completing form 990 and to further ensure compliance with its conflict of interest policy. Masco actively engages its directors, officers, or key employees to assure receipt of this information on an annual basis. The general counsel of the organization reviews all questionnaires and disclosure statements. In the event that she determines there is a potential conflict, the general counsel will notify the president of the organization and, if necessary in the judgment of general counsel and/or the president, outside counsel to the organization. If a potential conflict arises involving the general counsel or the president of the organization, that individual will not take part in the review matter, and the matter will be reviewed by an appropriate alternate officer and/or outside counsel. Determination of whether a conflict exists is made by the chairman of the board in consultation with the executive committee of the organization in consultation with the general counsel and, if desirable in the judgment of general counsel, outside specialty counsel. Any member of the executive committee who is the subject of a potential conflict would not take part in the determination. Restrictions on the individual determined to have a conflict are determined by the executive committee, in consultation with the general counsel and would range from that individual's recusal from consideration of the matter at hand to that individual's resignation from the board, depending on the nature of the conflict.”
“Masco retains the assistance of an independent compensation expert to provide assistance and guidance to the compensation committee. The committee meets twice yearly to discuss overall compensation guidelines for merit and incentive compensation; as well as the specific performance of the ceo and members of the executive staff. The compensation committee is independent of anyone whose compensation is at issue. Individuals who are not independent in a particular case will recuse themselves. These procedures are designed to establish the so-called "rebuttable presumption of reasonableness" under the regulations to section 4958 of the internal revenue code (intermediate sanctions). The executive staff includes all vice presidents and the general counsel. The compensation committee expert attends each of those meetings, including the executive session. The ceo provides the compensation committee with feedback from members concerning the performance of the company, as well as her evaluation of her staff's performance. The compensation expert compares the cash and non-cash compensation with that of similarly situated organizations both regionally and internationally. In addition, the compensation committee reviews compensation and adjustment recommendations with actions being undertaken by member organizations. Minutes are kept of these meetings.”

“Additional activities related to the accomplishment of exempt purpose: commuteworks - reduce traffic congestion by offering incentives for use of alternative travel modes 1. Direct services: provided direct services to lma commuters through new employee orientations (64), benefit fairs/information tables (12), general inquiry phone calls/emails (>500), and commuteworks programs (commutefit: 802, emergency ride home: 629, commuteswap: 11, dump the pump: 14). 2. Rideshare reports: assisted 9 institutions in preparation of 2014 dep rideshare reports and reporting reform (bch, bidmc, bwh, dfci, mca, mcphs, sc, wit, hms/hsph). 3. Bicycling: promoted bicycle commuting by providing 3 bike clinics for members, leading spring bike week registration and events, and facilitating a group bike commute led by a certified instructor from arlington. Masco members registered 792 participants and logged 16,335 total miles. 4. Member technical assistance: assisted 12 members in gaining recognition massachusetts excellence in commuter options (eco) awards, including two spotlight awards (bidmc; bch). 5. Carpooling/vanpooling incentive programs: in the carpool incentive program 34 carpools registered in fy15. Marketed state's new ridematching service (nuride) and re-marketed carpool and new vanpool incentive program. 6. Commutefest: planned and implemented an area-wide transportation day at blackfan circle with approximately 300 attendees and representation from 13 institutions. 7. Bi-annual eta breakfast: held bi-annual eta breakfasts to market and promote commuteworks programs with colleges. Transportation planning/capital: improve access to/in the lma through studies and physical improvements 1. Lma regional access: involved as stakeholder in city/state planning in the following roadway, transit and access projects: boston mpo's regional transportation advisory council; i-90 allston interchange study task force; massdot's bowker overpass study; city of boston's transportation vision boston 2030 advisory, data and parking groups. 2. Francis/binney improvements: evaluated the benefits of installing 4-way stop sign control at the intersection as justification to the city of boston that it could serve as low-cost improvement project in place of a full traffic signal. Implementation underway. 3. T advocacy: shared 120 comments with the mbta. Advocacy resulted in added new route 47 bus (pm peak hour) and added cars to worcester/framingham train 506. 4. Brookline avenue/riverway intersection: developed a new design concept, being reviewed with the city, the state and the community, the purpose of which is to improve safety for pedestrians and bicyclists, reduce overall congestion, and strengthen connections to the emerald necklace pathway network. 5. Brookline avenue study: to improve vehicular and bike access, evaluated use of on street parking and new lane configurations along brookline avenue between brookline village and lma to improve safety and multimodal accommodation. 6. Bicycle facilities: completed preliminary design and implemented bicycle facilities along longwood avenue. Provided comments on the city of boston's plans for bicycle facilities along francis, tremont and st. Alphonsus streets. 7. Accessible pedestrian signals (aps): evaluated feasibility of installing aps at the riverway & longwood avenue intersection; submitted recommendations to state for their future implementation. 8. Safety improvements: worked with dana-farber and boston children's hospital to evaluate pedestrian safety at the intersection of binney street & jimmy fund way; developed and implementing improvement plan. 9. No turn on red study: worked with the city to implement the signage changes at four intersections recommended by masco-led study and monitored for post-implementation traffic impacts. 10. Palace rd. “Urban ring: plan for future state transit service to the lma 1. Completed economic value study on this transportation improvement. Hired rebranding firm and conducted focus groups on why this service is important to the metropolitan boston area. Government/community relations: assist community and policy leaders in strategic areas of workforce development, open space and community development 1. Worked with or financially contributed to community groups such as: friends of the muddy river, friends of ramler park, emerald necklace conservancy, mission hill youth collaborative, mission hill main streets program, fenway civic association, fenway community development corp, mission hill neighborhood services, and roxbury tenants of harvard. 2. Worked with neighborhood groups, and mcphs university, to identify community needs (wigglesworth/worthington); successfully advocated with dpw and boston parks to implement short term sidewalk safety improvements, and coached neighborhood on how to enter these streets into city queue for tree pruning and future street redesign process. Long- range planning/development coordination, planning operations, city services and construction coordination: reduce impacts of development on city and neighborhoods 1. Planning/development coordination: a. Provided assistance to simmons and bidmc regarding their imp renewal. B. Convened strategic planning committee and land use attorneys, developed redline legal comments to assist bra on draft imp policy. C. Engaged sasaki professional intern program to complete urban design study focused on college members' campus needs. D. Avenue of the arts design guidelines: participated in community process for this bra project to develop public realm design guidelines for developments along the avenue up to longwood. E. Data campaign: completed departmental compilation and analysis of 2013 data, development of key messages and new lma factsheet. F. Banners: provided technical assistance to bwh, wit, sc, bidmc, mca regarding banner approvals from the city. G. Maps: completed update of political maps and transportation corridor map with 2014 elected officials and 2013 lma employee data. These help masco advocate for better transportation service by showing that lma employees come from almost every district in the state. Created gis maps of shuttle routes. Updated system with new utility, building and transportation data layers. H. Street furniture: purchased and installed 14 bigbelly solar compactors, 73 new benches, and 12 new metal trash receptacles for the area. Developed and implemented an area wide asset maintenance program. I. To benefit community members, updated the how to apply for jobs in the lma booklet to accurately reflect institutions' job application systems. 2. Mapping: a. Created gis maps of shuttle routes. Updated system with new utility, building and transportation data layers. 3. Construction coordination: a. Successfully worked with abutters, state and city agencies to repave sections of brookline avenue and the riverway. B. Sent out 256 member advisories; coordinated 18 building, street paving, and infrastructure projects; held 10 construction coordination meetings. C. Served as communication point to get information out to the lma community and to the army corps of engineers (ace). Provided 24/7 access to lma emergency communications. Worked with ace to purchase and install new signage to direct pedestrians and traffic during detours. D. Incorporated the roxbury tenants of harvard and samuels and associates construction management teams into the masco construction coordination groups. 4. City services: a. Reported and followed up on 137 incidences with utility companies, city and state agencies, and masco operations regarding: street light outages, potholes, sink holes, damaged street signs, traffic light issues, graffiti removal, leaf removal, street and sidewalk repair, and flooding issues. “Energy/infrastructure: plan for future infrastructure improvements 1. Utility resiliency planning: held annual engineers meeting with boston water and sewer to update members on infrastructure upgrades and resiliency planning in lma for water, sewer and storm drain system. 2. Legislative and policy initiatives: convened member ad hoc group to develop and implement lma advocacy strategies regarding city or state regulatory initiatives on: flame retardant chemicals in furniture (boston); climate action plan update (boston); carbon tax legislation (state); mepa climate change adaptation and resiliency policy (state); mass energy efficiency advisory council's 2016-2018 energy efficiency plans (state). Open space: improve physical environment through studies and implementation 1. Tree conditions analysis & care recommendations: hired landscape architect to review lma tree conditions and recommend future planting plan, reviewed with and accepted by city parks department. 2. Blackfan beautification: to create a more attractive street, completed installation of design including 23 planters, over 3,000 perennials, 17 trees, 55 shrubs and 700 bulbs. Hanging baskets: to make brookline avenue more attractive for patients, students, visitors, and employees, completed fourth summer program including 68 flower baskets on 17 street light poles. 8.
