Governance Explanations

Form 990, Part VI, Section B, Line 11

Irs form 990 is reviewed and approved by the ceo and the outsourced accounting firm and recommended for approval to the board finance committee prior to submission. A copy of the final form 990 is provided to the entire board before filing.

Form 990, Part VI, Section B, Line 12C

The board of directors has an approved a conflict of interest policy included as part of the organization's bylaws. Under the policy, the board, or a committee of the board will authorize, approve or ratify any contracts or transactions between the organization and any one or more of its directors, or any organizations in which one or more of its directors are members, shareholders, directors, trustees or officers, or in which any of them has a financial or other interest. Under the policy, common or interested persons may be counted in determining the presence of a quorum at a meeting of the directors (or committee thereof) which authorizes or approves the contract or transaction. However, the common or interested persons must withdraw from the discussion and voting of the interested contract or transaction in which they have a financial interest. Each director must provide the board with an annual written disclosure of the director's business involvements with the organization and the director's other board memberships. Such annual written disclosure must be circulated to all of the directors and must be updated throughout the year as necessary. Application of this policy does not apply to key employees.

Form 990, Part VI, Section B, Line 15A

Compensation of the ceo is determined by an independent compensation committee of the board of directors, and is approved by the executive committee. The process includes the use of comparable compensation data for similarly qualifed positions at similar nonprofits in the boston area. Committees maintain contemporaneous documentation of the deliberations and decisions. The process was last undertaken in december 2015 for the ceo.

Financial Statement Notes

PART X, LINE 2:

Gaap prescribes a recognition threshold and measurement attribute for financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. For those benefits to be recognized, a tax position must be more-likely-than-not to be sustained upon examination by taxing authorities. For the year ended june 30, 2015, the organization has determined that it has not taken any tax positions which would result in an uncertainty requiring recognition in the accompanying financial statements.
