Governance Explanations

The organization's president and ceo, vp of finance and finance committee review a draft of the form 990, which is prepared by the organization's independent accountants. Any comments resulting from the review process are incorporated into the form by the independent accountants. A final version of the form 990 is then made available to each member of the board of directors prior to its filing with the irs.

Board members are asked annually whether there are any conflicts that should be disclosed. All conflicts are disclosed directly to the president and ceo. In addition, board members with potential conflicts of interest are prohibited from participating in any deliberations or decisions that may be affected by their potential conflict of interest.

The president and ceo's compensation is reviewed annually by the treasurer and executive committee considering comparable compensation data. Related deliberations and decisions are addressed in executive sessions. In addition, the organization has a staff review process with regard to merit increases for all officers and key employees. The organization holds custodial funds on behalf of its clients. These funds are held for the clients individual personal needs.

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require the organization to evaluate tax positions taken and recognize a tax liability (or asset) if the organization has taken an uncertain position that more likely than not would be sustained upon examination by taxing authorities. The organization has analyzed the tax positions taken and has concluded that, as of december 31, 2014, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The organization believes it is no longer subject to income tax examinations for years prior to 2011.
