“The preparer provided a final draft copy of the form 990 to the executive director after all open items were addressed. The executive director provided all board members with a copy of the return to review during a meeting at which time the final draft version is approved for filing.”

“Each person shall annually sign a statement which affirms that such person has received a copy of the conflict of interest policy, has read and understands the policy and has agreed to comply with the policy. In addition, each person shall disclose on the annual statement any relationships, circumstances, or positions in which the person or a family member is involved that he or she believes could contribute to a conflict of interest arising. Except to the extent additional information is necessary in connection with the implemenation of this conflict of interest policy, any such information regarding an interested person or a family member shall remain confidential.”

“The executive committee shall recommend to the board the compensation of the executive director at an amount which, in the executive committee's reasonable judgment, reflects the compensation that is an appropriate incentive to attract and retain a person to serve as executive director of the foundation. It is the responsibility of the executive director to create new positions and to hire covered persons (defined as staff other than executive director) and to determine compensation for those hires consistent with this policy. The compensation shall be set at a level required to attract and retain outstanding employees. The executive committee will approve compensation for all covered persons.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request and through guidestar. The organization has also filed its articles of organization with the secretary of the commonwealth of massachusetts which include its activities, compensation and other financial arrangements, and its conflict of interest policy, financial information is available to the public via the organization's annual report filing for public charities with the secretary of the commonwealth of massachusetts which includes a copy of form 990.”
