Mission

Through food, personal relationship, and the power of community, haley house breaks down barriers between people, transfers new skills, opens opportunites, and revitalizes communities. We believe in radical solutions: solving problems at their root by challenging the attitudes and structures that perpetuate suffering while building innovative models as creative alternatives. Begun as a soup kitchen in 1966, haley house has grown into a multifaceted organization deeply rooted in two boston neighborhoods, the south end and roxbury. In our 50-year history, the organization has expanded creatively in direct response to the needs of those who come to our doors.

Governance Explanations

Form 990, Part VI, Section B, Line 11B

The board of directors reviews form 990. The financial data on form 990 is reconciled to the financial information on the audited financial statements. The non financial information such as questions concerning governance, policies and tax compliance are reviewed to ensure that they are accurately answered. Consideration is given as to the completeness of unrelated business income, if any.

Form 990, Part VI, Section B, Line 12C

1. Duty to disclose in connection with any actual or possible conflict of interest, aninterested person must disclose the existence of the financial interest andbe given the opportunity to disclose all material facts to the directorsand members of committees with governing board delegated powers consideringthe proposed transaction or arrangement. 2. Determining whether a conflict of interest exists after disclosure of the financial interest and all material facts, andafter any discussion with the interested person, he/she shall leave thegoverning board or committee meeting while the determination of a conflictof interest is dicussed and voted upon. The remaining board or committeemembers shall decide if a conflict of interest exists. 3. Procedures for addressing the conflict of interest a. An interested person may make a presentation at the governing board orcommittee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. B. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. C. After exercising due diligence, the governing board or committee shall determine whether the center can obtain with reasonable efforts a more advantageous transation or arrangement from a person or entity that wouldnot give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonablypossible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall makeits decision as to whether to enter into the transaction or arrangement. 4. Violations of the conflicts of interest policy a. If the governing board or committee has reasonable cause to believe amember has failed to disclose actual or possible conflicts of interest, itshall inform the member of the basis for such belief and afford the memberan opportunity to explain the allaged failure to disclose. B. If after hearing the member's response and after making furtherinvestigation as warranted by the circumstances, the governing board orcommittee determines the member has failed to disclose an actual orpossible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, Line 15

In reviewing and approving the compensation of any covered individuals, the haley house inc board of directors, or a delegated committee of the board (referred to as the approval body below), will utilize the followingprocess: 1. Impartial decision makers. The compensation arrangement must be approvedin advance (before any payment is made) by the approval body of hhicomposed entirely of individuals who do not have a conflict of interestwith respect to the compensation arrangement (example: neither theexecutive whose compensation is being determined nor any of his/her familymembers may be present during the discussion/debate or participate in thevote). 2. Comparability data. When the approval body is considering compensationto covered individuals, it must relay on comparability data thatdemonstrate the fair market value of the compensation in question. For example, when crafting compensation packages, the approval body must secure data that documents compensation levels for similarly qualified individualsin like positions at like organizations. This data may include thefollowing: a. Expert compensation studies by independent firms; b. Written job offers for positions at similar organizations; c. Documented telephone calls about similar positions at both nonprofit andfor-profit organizations; andsee response to part vi, line 15a

Financial Statement Notes

PART IV, LINE 2B:

The escrow account liability on part x line 21 consists of tenat security deposits, which are held in a separate bank account. The deposits are refunded to the tenant upon termination of the lease.

PART X, LINE 2:

The organization was incorporated under the provisions of chapter 180 of the general laws of the commonwealth of massachusetts. The organization has been granted a tax-exempt status by the internal revenue service under code section 501(c)(3). The organization is not a private foundation. The preparation of financial statements in conformity with accounting principles generally accepted in the united states of america requires the organization to report information regarding its exposure to various tax positions taken by the organization. The organization has determined whether any tax positions have met the recognition threshold and have measured the organization's exposure to those tax positions. Management believes that the organization has adequately addressed all relevant tax positions and that there are no unrecorded tax liabilities. Federal and state tax authorities generally have the right to examine and audit the previous three years of tax returns filed. Any interest or penalties assessed to the organization are recorded in operating expenses. No interest or penalties from federal or state tax authorities were recorded in the accompanying financial statements. The open tax years are years ended 2014 to 2018. Management has stated there are no examinations pending or in progress.
