Governance Explanations

A draft of the complete form 990 will be provided to each member of the board of directors before filing. The form 990 will be reviewed by the finance committee before filing and changes required (if any) will be made prior to filing. The 990 (that was previously provided or a new draft if changed) will be presented at a board meeting before filing. Based on the discussion, if any changes are identified as warranted, they will be made and revised drafts will be provided to the board before filing.

A conflict of interest policy statement is required to be completed annually. The forms are reviewed and it is determined whether or not a potential conflict exists. If a potential conflict is determined to exist, the individual in question is barred from participating in any deliberations or decisions relating to the conflicting matter.

A review of the ceo's salary is completed annually by a board committee and approved by the full board. Periodically, a compensation study is done to determine if pay is comparable to other similar organizations. Compensation is performance based in accordance with the board-approved merit range which is the same across the entire agency. Other officers and key employees are subject to annual performance evaluations and are compensated based on the merit range approved by the board for use across the entire agency. Periodically the board may grant parity adjustments for employees including the ceo.

Financial Statement Notes

PART X, LINE 2:

The agency accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. The agency has identified its tax status as a tax exempt entity, its accounting for related and unrelated revenue and its continued compliance with tax exempt financing rules as its only significant tax positions; however, the agency has determined that such tax positions do not result in uncertainties requiring recognition. The agency is not currently under examination by any taxing jurisdictions. The agency's federal and state tax returns are generally open for examination for three years after the date of filing, including extensions.
