Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared and reviewed by the chief financial officer, finance manager, and external accounting firm. At least 5 (five) days before the final filing deadline, including any permitted extension periods, a draft of the filing is reviewed by the executive director and furnished to each member of the board of trustees for review and comment. Upon completion of any revisions, a final copy of the form 990, as submitted to the irs, is distributed to all trustees prior to the final filing date.

Form 990, Part VI, Section B, Line 12C

Each trustee and senior staff member files an annual disclosure statement, attesting to having read and being in compliance with the conflict of interest policy of the organization, and listing all those relationships he or she, or a related party, maintains with any person or organization that does business with the organization and which constitute, or which could be construed as, material affiliations potentially affecting his or her independent, unbiased judgment in light of his or her decision-making authority or responsibility, and listing any confidential information from which he or she, or any related party to whom he or she would disclose it, receives or would anticipate receiving any substantial financial or other benefit. The executive director maintains a record of all material affiliations, benefits from confidential information and payments to affiliated persons or organizations disclosed pursuant to this policy, and recommends to the chairman of the board any such affiliations, benefits or payments which should be brought to the attention of the board of trustees or governance committee, and determines the extent to which the persons or organizations with which any such affiliations exist should be disclosed to those dealing with such persons or organizations on the organization's behalf. Whenever any contract, transaction or other matter comes before the board of trustees or one of its committees which reasonably could affect or be affected by the personal financial interest of a trustee, senior staff member or related party, such trustee or senior staff member, if present at the meeting, shall remind the board or committee of his or her or the related party's interest and shall refrain from active participation in any decision made concerning the matter. A trustee having a potential conflict of interest with the organization shall not be counted in determining the presence of a quorum at a meeting of the applicable board or committee at the time any action is taken on any matter involving the conflict. If as to any particular potential conflict, including but not limited to potential benefit from confidential information, the board of trustees determines that these provisions are inadequate to protect the best interest of the organization, they may cause the affected trustee or senior staff member entirely to remove him or herself from any meeting involving the conflict or opportunity to obtain the information or take such other actions as they consider appropriate. For the purposes of this policy "senior staff member" means the executive director, deputy executive director, chief financial officer, any director-level position, and any other senior executive designated by the executive director from time to time.

Form 990, Part VI, Section B, Line 15

The compensation committee, comprised of independent trustees, approves and recommends to the board of trustees the compensation of the executive director and senior management annually in advance. Senior management includes in addition to the executive director, the deputy executive director, the chief administrative officer and the directors of development and marketing, who are the highest compensated employees of the organization. In making its determination, the committee reviews publicly available nonprofit compensation surveys; compensation data for functionally comparable positions of approximately 18 similarly situated organizations compiled from the most recently available irs form 990s; and the current total compensation, including benefits and any perquisites, of the executives. The deliberations and decisions of the compensation committee are recorded contemporaneously and retained in the form of meeting minutes.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, form 990 and audited financial statements available to the general public upon written request for the same period of disclosure as set forth in section 6104(d). In addition, the form 990 without schedule b is available via guidestar and the massachusetts attorney general's website.

Financial Statement Notes

PART III, LINE 1A:

Plimoth's collections are made up of artifacts of historical significance that are held for educational, research, and curatorial purposes. Each of the items is cataloged, preserved, and cared for, and activities verifying their existence and assessing their condition are performed continuously. The collections are subject to a policy that requires proceeds from their sales to be used to acquire other items for collections. The collections, which were acquired through purchases and contributions since plimoth's inception, are not recognized as assets on the statement of financial position. Purchases of collection items are recorded as decreases in unrestricted net assets in the year in which the items are acquired, or as temporarily or permanently restricted net assets if the assets used to purchase the items are restricted by donors. Contributed collection items are not reflected on the financial statements. Proceeds from deaccessions or insurance recoveries are reflected as increases in the appropriate net asset classes.

PART III, LINE 4:

Plimoth plantation's mission is to increase understanding of the native wampanoag people of southeastern massachusetts and the english colonists, the impact of colonization on wampanoag land and culture, and to explore the continuing significance of the plymouth colony story to american history. To this end, the institution has four collections to help further the museum's purpose: original artifacts, library and archives, reproduction artifacts, and living collections. Original artifacts are divided into three groups: archaeology, objects typical of 17th-century pilgrim life, and pilgrim memorabilia. - the native american archaeological collection is comprised of approximately 20,000 artifacts, mostly lithics, representing the material culture of southeastern new england. 10,000 artifacts, with excavation notes, represent 27 local sites in plymouth county. 9,000 artifacts are surface finds from southern massachusetts, while the remainder is comparative material from other areas. Also in the museum's holdings are approximately 30,000 colonial american artifacts excavated from local 17th century sites. The museum owns five assemblages, and serves as steward for an additional six. The objects collection is comprised of historic and non-provenanced archaeological material which represent artifacts of a type the english colonists would have known: 300 ceramics, 75 pieces of furniture, 40 glass objects to represent domestic life; 500 wooden and iron implements which represent craft, farming, fishing and navigational tools, as well as armor; and 350 16th and 17th-century prints and 12 paintings help us interpret daily life in the 17th century. - the 400-object pilgrim memorabilia collection includes 19th and 20th century items related to tourism and interest in the pilgrims and wampanoag. Included are prints, postcards, coins and souvenir ceramics. Library and archival collections provide support material for the study of 17th-century life. The library is made up of 6400 books, 130 rare books, 8700 periodicals and 4300 items in the vertical file, and is open to staff, and researchers by appointment. Eighteen linear feet of institutional archives document how plimoth plantation has evolved over the past 60 years. Reproduction collections include the basic framework for our living history interpretation: 20 reproduced houses and 3 native structures representing the types of housing in plymouth in 1627; one ship (mayflower ii) and several boats and canoes. The structures are filled with over 7,000 artifacts used to create authentic interiors and for living history interpretation. Costumed staff wear over 2,200 items of reproduction clothing. The artifacts used at the wampanoag homesite are not just reproductions produced by wampanoag and other native artisans, they represent the continuation of ancient craft traditions. Living collections of 7 rare and minor breeds animals represent the animals present in plymouth documented in the 1627 cattle division. They are used in living history interpretation. The original collections are primarily used for research. They provide staff with invaluable source material for recreating 17th-century life, and are extensively used by our curators, artisans and interpreters. The visual works are not only sources of period interiors, but also show details of objects and everyday activities which are copied in our living history interpretation. Objects, both archaeological and historical, are used by our artisans to study construction information and as models for reproduction objects used at both the wampanoag homesite and 1627 english village. Collections are available for study by serious researchers by appointment. Historians, archaeologists and conservators have examined objects from our collections, ranging from lithics to window leads to clay pipes. Items from the originals, archeaology and rare book collections are at times displayed in the museum's exhibition. Collections are also available for

Plimoth follows fasb asc 740, income taxes, which clarifies the accounting for uncertainty in income taxes by prescribing the recognition threshold a tax position is required to meet before being recognized in the financial statements. Plimoth recognizes a tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by the taxing authorities. Management evaluated plimoth's tax positions and concluded that plimoth has no material uncertainties in income taxes as of december 31, 2017 and 2016. Plimoth is no longer subject to income tax examinations by the u.s. Federal, state or local tax authorities for years before 2014. Plimoth will account for interest and penalties related to uncertain tax positions, if any, as part of tax expense.
