Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall consist of the chairperson, vice chairperson, president, treasurer and clerk of the college and the chairpersons of the standing committees. The immediate past chairperson of the board of trustees shall sit on the executive committee (ex officio). It shall have the power to act in lieu of the trustees between meetings, communicating all such decisions to the full board of trustees. It will direct the trustees' role in strategic planning for the college. It will assure that all major responsibilities of the trustees are being carried out, in part by assuring that each committee is functioning properly, setting and meeting annual goals. It will approve the president's annual priorities and evaluate the president's performance.

The form 990 was prepared by the college's independent tax advisors with information provided by management and reviewed by the chief financial officer and the director of finance. A complete copy of the form 990 was provided to all board members for their review prior to the form 990 being submitted to the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The college maintains two conflict of interest policiesone applicable to the board of trustees and one applicable to employees. On an annual basis, all trustees are required to complete a conflict of interest questionnaire disclosing any actual or potential conflicts. Completed questionnaires are submitted to the finance office, where they are reviewed by the evp/cfo and retained. Employee conflict of interest disclosures, when applicable, are maintained by human resources. The conflict of interest policies require individuals to disclose potential conflicts, outline the process for determining whether a conflict exists, and establish procedures for addressing conflicts. The policies are consistently enforced by requiring conflicted individuals to recuse themselves from discussions, deliberations, voting, and decisionmaking related to the applicable transaction.

Form 990, Part VI, Section B, Line 15A

The president's compensation is reviewed and approved by the board of trustees and the vp of human resources, with external assistance for market analysis purposes. There is contemporaneous documentation of the deliberation and decision. Human resources conducts a market analysis for all recruited positions to ensure competitiveness and reviews them within the budget framework. The process described here was last completed in 2025.

PART V, LINE 4:

The college intends to use all of its endowment funds in support of its exempt purpose. Restricted funds will be used in a manner consistent with donor restrictions for scholarships, facilities support, and various student services. Unrestricted funds will be used as directed and approved by the college's governing board.

PART X, LINE 2:

The college is a tax-exempt organization as described in section 501(c)(3) of the internal revenue code (irc), and is generally exempt from income taxes pursuant to section 501(a) of the irc. Accordingly, it is generally not subject to income taxes except to the extent it has taxable income from activities that are not related to its exempt purpose. The college is required to assess uncertain tax positions and has determined that there were no such positions that are material to the financial statements.
