Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall consist of the chairperson, vice chairperson, president, treasurer and clerk of the college and the chairpersons of the standing committees. The immediate past chairperson of the board of trustees shall sit on the executive committee (ex officio). It shall have the power to act in lieu of the trustees between meetings, communicating all such decisions to the full board of trustees. It will direct the trustees' role in strategic planning for the college. It will assure that all major responsibilities of the trustees are being carried out, in part by assuring that each committee is functioning properly, setting and meeting annual goals. It will approve the president's annual priorities and evaluate the president's performance.

Form 990, Part VI, Section A, Line 4

In february 2024, the board of trustees approved amended and restated bylaws. These revisions included updates to procedural practices, incorporated best practices, conformed the bylaws to the board's practices, and otherwise clarified various provisions. Notable changes included clarity to governance authority, clarification to roles of the various committees, provisions on board member and officer liability and indemnification, adoption of a conflict-of-interest policy, and a new provision instituting a non-discrimination policy.

The form 990 was prepared by the college's independent tax firm with information provided by management and reviewed by the chief financial officer and the director of finance. A complete copy of the 990 was provided to all board members for their review prior to the form 990 being submitted to the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The college has two conflict of interest policies, one for the board of trustee and one for employees. Each year a questionnaire is sent to all trustees and they are required to disclose any conflicts. These forms are submitted to the finance office where they are reviewed by the evp/cfo and retained. Employee conflict of interest reports are retained within human resources if applicable.

The president's compensation is reviewed and approved by the board of trustees and the vp of human resources, with external assistance for market analysis purposes. There is contemporaneous documentation of the deliberation and decision. Human resources conducts a market analysis for all recruited positions to ensure competitiveness and reviews them within the budget framework.

FORM 990, PART XII, LINE 2C:

Prior to fy24, the finance committee of the board of trustees was responsible for reviewing the audits of the college. In fy24, the new president of the college asked that a new audit committee of the board was to be established.

Financial Statement Notes

PART V, LINE 4:

The college intends to use all of its endowment funds in support of its exempt purpose. Restricted funds will be used in a manner consistent with donor restrictions for scholarships, facilities support, and various student services. Unrestricted funds will be used as directed and approved by the college's governing board.

PART X, LINE 2:

The college is a tax-exempt organization as described in section 501(c)(3) of the internal revenue code (irc), and is generally exempt from income taxes pursuant to section 501(a) of the irc. Accordingly, it is generally not subject to income taxes except to the extent it has taxable income from activities that are not related to its exempt purpose. The college is required to assess uncertain tax positions and has determined that there were no such positions that are material to the financial statements.
