Governance Explanations

Form 990, Part VI, Section A, Line 4

The bylaws were amended on may 21, 2025. The below article was added: article x personal liability; indemnification section 1. Personal liability. The directors and officers of the corporation shall not be personally liable for any debt, liability or obligation of the corporation. All persons, corporations or other entities extending credit to, contracting with, or having any claim against, the corporation may look only to the funds and property of the corporation for the payment of any such contract or claim or for the payment of any debt, damages, judgment or decree, or of any money that may otherwise become due or payable to them from the corporation. Section 2. Indemnification. The corporation shall indemnify, to the extent permitted by law, the directors, officers, employees of the corporation, and persons who serve at its request in such capacity. Such indemnification shall include payment by the corporation of reasonable expenses, including attorneys' fees, reasonably incurred or imposed upon such person in defending a civil or criminal claim, action or proceeding (other than a proceeding voluntarily initiated by such person unless he or she is successful on the merits and the proceeding was authorized by a majority of the full board of directors) in which such person may become involved by reason of such person's serving or having served as a director, officer, or employee of the corporation in advance of the final disposition of such action or proceeding, provided that such indemnification shall be subject to receipt by the corporation of an undertaking by the person indemnified to repay such payment if such person shall be adjudicated to be not entitled to indemnification under this section. Any such indemnification shall be provided although the person so indemnified is no longer a director, officer or employee of the corporation. No indemnification shall be provided for any person with respect to any matter as to which such person shall have been adjudicated in any proceeding not to have acted in good faith in the reasonable belief that his/her action was in the best interest of the corporation. The payment of any indemnification shall be conclusively deemed authorized by the corporation under these by-laws, and each director of the corporation approving such payment shall be wholly protected if: i)the payment has been approved or ratified (1) by a majority vote of a quorum of the directors consisting of persons who are not at that time parties to the proceeding or (2) by a majority vote of a committee of two or more directors who are not at that time parties to the proceeding and are selected for this purpose by the full board of directors (in which selection, directors who are parties may participate); or ii)the action is taken in reliance upon the opinion of independent legal counsel appointed for the purpose by vote of the directors or in the manner specified in clauses(1)or (2) of the above subparagraph (i); or iii)the directors have otherwise acted in accordance with the standard of conduct applied under chapter 180 of the massachusetts general laws. Any rights of indemnification here under shall not be exclusive of, but in addition to, any other right which a director, officer, employee of the corporation may have or obtain, or be entitled.

Nurtury strives to avoid related party transactions. In some cases, the corporation's interest may be well served by arrangements that constitute related party transactions. However, to ensure that the corporation's best interests are being served, related party transactions are subject to full disclosure, independent board consideration and approval. It is a requirement for all officers, directors and key employees to complete and sign off on annual conflict of interest questionnaires.

The agency accounts for uncertainty in income taxes in accordance with asc topic, income taxes. This standard clarifies the accounting for uncertainty in tax positions and prescribes a recognition threshold and measurement attribute for the financial statements regarding a tax position taken or expected to be taken in a tax return. The agency has determined that there are no uncertain tax positions which qualify for either recognition or disclosure in the financial statements at august 31, 2025. The agency's information returns are subject to examination by the federal and state jurisdictions.

Part V

The agency's endowment consists of donor-restricted funds. The agency has adopted an investment policy to support the agency's long-term growth. The agency's investment policy states that endowment funds which are not needed in the near future should be invested in a diversified blend of equity and fixed income investments for long-term growth with a moderate risk profile. The investment strategy utilized must match or out perform a comparable blend of benchmarks and indices. Investment income, up to an amount equal to the inflation rate, should be reinvested in the endowment fund (if positive on an annual basis). Investment income greater than the inflation rate may be transferred by majority vote of the finance committee or the board of directors to general operations as long as the value of the endowment funds are greater than the original donation.
