Form 990, Part VI, Section A, Line 7A

The boston athenaeum was incorporated as a shareholder organization by the massachusetts general court (the state legislature) in 1807. Athenaeum shareholders are termed "proprietors." the general court has authorized 1,049 athenaeum proprietors. These proprietors' sole function is to elect the officers and governing board of the athenaeum. Proprietor shares may be bought or sold, given or bequeathed. The proprietors themselves have no claim on the net assets of the athenaeum, nor do they receive any personal financial benefit resulting from their holding of the proprietorship.

Form 990, Part VI, Section B, Line 11B

Prior to filing form 990, a special meeting of the audit & risk committee, who is delegated authority to approve the return, was held. The return was presented by the director of finance, who was available to answer questions and to certify the accuracy of information provided on the return. The committee voted to approve the return based on examination of the return and certifications made by the director of finance. A complete copy of the form 990 was provided to the entire board via email, prior to filing.

Form 990, Part VI, Section B, Line 12C

The organization maintains a written conflicts-of-interest policy. The policy requires officers, directors, trustees and key employees to complete an annual conflicts-of-interest disclosure statement. The statements are discussed and considered per the policy at a meeting of the board of trustees.

Each year the trustees evaluate the compensation of the executive director objectively, taking into account compensation paid by similar organizations for functionally comparable positions.

Form 990, Part VI, Section C, Line 19

The athenaeum was incorporated in 1807. Upon the enactment of the federal income tax in the 20th century, the irs determined that the athenaeum was exempt from taxation. This irs determination occurred prior to the establishment of the application process that includes form 1023. Consequently no form 1023 has been required by the irs or prepared by the athenaeum. The athenaeum's bylaws and conflict of interest policy are available for review upon request. FORM 990, PART I & III, LINE 1:

The mission of the boston athenaeum is to engage all who seek knowledge by making accessible our library's collections and spaces, thereby inspiring reflection, discourse, creative expression, and joy.

Financial Statement Notes

PART III, LINE 1A:

The collections which were acquired through purchases and contributions since the athenaeum's inception are not recognized as assets on the consolidated statement of financial position. Purchases of collection items are recorded as decreases in net assets without donor restrictions in the year in which the items are acquired and as releases of restricted net assets if the assets used to purchase the items were used to fund the purchase. Contributed collection items are not reflected as revenue in the consolidated financial statements. Proceeds from de-accessions or insurance recoveries are reflected as increases in net assets. The athenaeum's collections are made up of books, artifacts of historical significance and art objects that are held for educational, research, scientific and curatorial purposes. Each of the items is cataloged, preserved and cared for, and activities verifying their existence and accessing their condition are performed continuously.

PART III, LINE 4:

The athenaeum's collections comprise over half a million volumes, extensive holdings of paintings, sculptures, prints, and photographs. Particular strengths are in boston history, new england state and local history, biography, english and american literature, and the fine and decorative arts. The athenaeum supports a dynamic exhibition program and sponsors a lively variety of events such as lectures and concerts. It also serves as a stimulating center for discussions among scholars, bibliophiles, and a variety of community-interest groups.

PART V, LINE 4:

The athenaeum's endowment consists of 500 endowment funds established for a variety of purposes. Its endowment includes both donor-restricted endowment funds and funds designated by the board to function as endowments. Net assets associated with endowment funds are classified and reported based on the existence or absence of donor-imposed or legal restrictions. The board has interpreted the uniform prudent management of institutional funds act ("upmifa") as enacted in massachusetts as requiring the tracking of the original gift amounts of donor-restricted endowment funds absent explicit donor stipulations to the contrary. The athenaeum tracks in perpetuity: (a) the original value of gifts donated to the permanent endowment, (b) the original value of subsequent gifts to the permanent endowment and (c) any accumulations to the permanent endowment made in accordance with the direction of the applicable donor gift and instrument at the time the accumulation is added to the fund, as applicable.

PART X, LINE 2:

The athenaeum accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. The athenaeum has identified its tax status as a tax exempt entity and its treatment of income as related or unrelated as its only significant tax positions; however, the athenaeum has determined that such tax positions do not result in an uncertainty requiring recognition. The athenaeum is not currently under examination by any taxing jurisdictions. The athenaeum's federal and state tax returns are generally open for examination for three years following the date filed.

IT IS COMPOSED OF TWO PRINCIPAL DEPARTMENTS: READER SERVICESAND TECHNICAL SERVICES. READER SERVICES AT THE BOSTON ATHENAEUMCOMPRISES THE PUBLIC DEPARTMENTS THAT OFFER LIBRARY SERVICES. THE HEADOF READER SERVICES AND THE ARCHIVIST/REFERENCE LIBRARIAN WORK AT THEREFERENCE DESK; THEY ANSWER HUNDREDS OF MEMBERS AND RESEARCHERS'QUESTIONS AND ASSIST IN THE USE OF CIRCULATING MATERIALS, SPECIALCOLLECTIONS, ELECTRONIC RESOURCES, AND ONLINE RESEARCH. THOUSANDS OFRARE MATERIALS ARE PROVIDED FOR THE 200-300 RESEARCHERS WHO USE THESPECIAL COLLECTIONS READING ROOM EVERY YEAR. THE HEAD OF CIRCULATIONAND THE READER SERVICES ASSISTANT MANAGE ACTIVITY AT THE CIRCULATIONDESK, WHERE ROUGHLY 18,000 ITEMS CIRCULATE EACH YEAR. FIVE INTERNSASSIST AT CIRCULATION AND REFERENCE. THE CHILDREN'S LIBRARIAN HELPSYOUNGER MEMBERS USE THE CHILDREN'S LIBRARY, AND OFFERS PROGRAMSINCLUDING STORY HOURS AND READING GROUPS, DESIGNED SPECIFICALLY FORCHILDREN. NINETEEN DISCUSSION GROUPS AND OVER 150 TOURS OF THE BUILDING ARE ARRANGED BY READER SERVICES EVERY YEAR. THE TECHNICAL SERVICES DEPARTMENT, MANAGED BY THE CHIEF TECHNICAL SERVICES LIBRARIAN, ENCOMPASSES THE FUNCTIONS OF ACQUISITIONS, CATALOGING, SERIALS, CONSERVATION, AND DIGITIZATION. THE UNITS OF ACQUISITIONS, CATALOGING, AND SERIALS INCLUDE, AN ACQUISITIONS LIBRARIAN, A SERIALS LIBRARIAN, THREE RARE MATERIALS CATALOG LIBRARIANS, TWO CATALOGING ASSISTANTS, AND THREE INTERNS. THEY ARE RESPONSIBLE FOR SELECTING, ACQUIRING, ACCESSIONING, INVOICING, CATALOGING, AND PROCESSING APPROXIMATELY 2,700 ADDITIONS TO THE LIBRARY PER YEAR, INCLUDING BOTH NEW IMPRINTS AND RARE HISTORICAL VOLUMES. THE DEPARTMENT ALSO AUGMENTS APPROXIMATELY 3,000 LEGACY CATALOGING RECORDS PER YEAR.
