There shall be an executive committee consisting of the chair, vice chair(s), treasurer, clerk, executive director, and other trustees as determined from time to time by the trustees. Unless the trustees otherwise determine, the executive committee shall have all the powers of the trustees during intervals between meetings of the trustees.

The form 990 is first reviewed and approved by the executive director and the finance and audit committees of the board. It is then made available to the board of trustees for review in advance of filing. Schedule b is made available to the board chair, treasurer, and chair of the audit committee.

On an annual basis, all members of the board of trustees and its committees, officers, the executive director, members of senior management, and employees with purchasing and/or hiring responsibilities or authority shall complete a written disclosure form listing all reportable conflicts or confirming that there are no conflicts to report. The board development committee shall review all forms completed by the trustees, officers, and committee members and the executive director shall review all forms completed by employees to determine appropriate resolution in accordance with the the policy. If a conflict arises during the year, the trustee, officer, or committee member shall immediately notify the chair of the board development committee, who will determine appropriate resolution; employees shall immediately notify the executive director, who will determine appropriate resolution. Form 990, Part VI, Section B, Line 15A

The process for reviewing the executive director's compensation has two parts: an annual review and an in-depth review as part of a review of all employee compensation at regular intervals. The annual process includes a review by the governance committee of executive compensation at similar organizations, generally as published in their 990s. The governance committee, in consultation with the finance committee, recommends any adjustment to the executive director's compensation. That recommendation is presented to the full board for review and vote and is documented in the meeting minutes. The last in-depth compensation review for the executive director and full staff was in 2019, and included examination of comprehensive studies compiled by external entities. For staff, a more informal compensation review occurs annually as part of the budgeting process and whenever there are vacancies to be filled. Since 2013, increases to the executive director's salary have matched, but not exceeded, the percentage increase given to the full staff.

THE GARDEN IS ALSO A RESOURCE FOR NATIVE PLANT RESEARCH AND A LIVING LABORATORY FOR PUBLIC PROGRAMMING AND CHILDREN'S EDUCATION. WE OPERATE THE GARDEN USING ECOLOGICAL BEST PRACTICES AND ASPIRE TO BE A MODEL FOR COLLEAGUES. WE ALSO OFFER FREE ADMISSION TO THE PUBLIC ON SELECTED DAYS, AS WELL AS DISCOUNTED ADMISSION THROUGH PASSES AVAILABLE AT LOCAL LIBRARIES.AT OUR NASAMI FARM NURSERY, STAFF AND VOLUNTEERS GREW APPROXIMATELY 50,000 NEW ENGLAND NATIVE PLANTS FROM SEED COLLECTED SUSTAINABLY AND ETHICALLY FROM LOCAL WILD POPULATIONS.THESE PLANTS ARE SOLD IN OUR RETAIL SHOPS, USED IN RESTORATION PROJECTS, AND DISPLAYED IN THE GARDENS AT GITW.DEDICATED HORTICULTURE VOLUNTEERS AT GITW AND NASAMI FARM DONATED MORE THAN 3,000 HOURS IN SEED COLLECTING AND CLEANING, PROPAGATION, AND GARDEN MAINTENANCE.

ALSO WORKED WITH LOCAL CULTURAL COUNCILS THROUGHOUT MASSACHUSETTS TO OFFER A FREE CONSERVATION LECTURE SERIES AT LIBRARIES.ENGAGED ADULT VISITORS TO GARDEN IN THE WOODS WITH 160 TOURS, SERVING BOTH INDIVUALS AND GROUPS RANGING FROM LOCAL GARDEN CLUBS TO NATIONAL HORTICULTURE GROUPS. ALSO CONDUCTED 105 SCHOOL TOURS, SERVING 1,047 CHILDREN.54 DEDICATED VOLUNTEERS COLLECTIVELY DONATED 1,152 HOURS. INCLUDES 28 TOUR GUIDES, WHO DONATED 179 HOURS; 13 PROGRAM HOSTS, WHO CONTRIBUTED 657 HOURS; 14 VOLUNTEERS WHO CONTRIBUTED 75 HOURS TO UPDATE THE GARDEN'S BLOOM BOARD; AND 3 LIBRARY VOLUNTEERS, WHO CONTRIBUTED 193 HOURS TO MANAGING THE RESOURCE LIBRARY.
